COMPLIANCE RULES. Each of the Borrower and any Person, including the General Partner, any Relevant Person or any Secondary Person, subject to the Compliance Rules has complied in all material respects with, and is in compliance in all material respects with, the Compliance Rules.

Subadvisor is responsible for pre-trade compliance with the Rules as communicated by Advisor. If any violation by Subadvisor of such Rules results in a violation of the Relevant Laws by any Fund, Subadvisor shall be responsible for the overall Fund violation and will be responsible for the correction of such error in accordance with the Advisor’s and the relevant Fund’s error correction policies.

Advisor will develop investment guidelines, restrictions, and compliance rules for the Funds (the "Rules") such that each Fund will operate in compliance with the Relevant Laws when all such Rules are implemented and followed by Subadvisor and any Other Subadvisors, if any. Subadvisor is responsible for compliance of each Model Portfolio with the Rules before it is communicated to Advisor. If any violation by Subadvisor of such Rules in a Model Portfolio communicated to the Advisor results in a violation of the Relevant Laws by any Fund, Subadvisor shall be responsible for the overall Fund violation and will be responsible for the correction of such error in accordance with the Advisor's and the relevant Fund's error correction policies.
COMPLIANCE RULES. 1 In entering into this Agreement and implementing this Agreement, Institution shall confirm that the relevant regulations are met by obtaining the necessary notification and approval in accordance with the hospital regulations to which Institution belongs.

Subadvisor is responsible for pre-trade and post trade compliance with the Rules with respect to the Subadvisor Managed Assets as communicated by Advisor to Subadvisor in writing with reasonable notice. If any violation by Subadvisor of such Rules arises from Subadvisor’s Disabling Conduct (as defined below) and results in a violation of the Relevant Laws by any Fund, Subadvisor shall be responsible for the overall Fund violation to the extent provided in Section 20 hereof and shall cooperate with the Advisor and the relevant Fund to correct such error in accordance with the Advisor’s and the relevant Fund’s error correction policies.
COMPLIANCE RULES. Host Devices, at the time of manufacture, must comply with the requirements set forth in this Exhibit C and be constructed so as to resist attempts at circumvention of these requirements as specified in Exhibit B, Robustness Rules. For purposes of this Exhibit C, “at the time of manufacture” shall have the meaning given in Section 11.2 of the Agreement. Note: The terms of this Exhibit C do not apply with respect to Prototypes or Licensed Components.
