Compliance Certifications. Not more than 25 business days after the end of each quarter, beginning the first quarter next following the Closing Date, or concurrently with the delivery of the financial statements required to be delivered by Borrower to Bank, a certificate of the Person preparing such statements, whether an independent certified accountant, an officer of Borrower or some other Person acceptable to Bank, stating that, in making the examination necessary therefor, no knowledge was obtained of any default condition or event of default.

Compliance Certifications. In connection with the delivery of each Monthly Report, a Servicing Officer of the Master Servicer will certify on behalf of the Master Servicer to the Trustee for the benefit of the Series 2010-1 Noteholders as to the contents of such Monthly Report, the form of such certification to be set forth on the form of Monthly Report attached as Exhibit F hereto.
Compliance Certifications. The Sellers shall prepare, or cause to be prepared, each Compliance Certification covering all or any portion of a time period in which any Seller was the Master Servicer, Servicer or Subservicer under any Servicing Agreement (Securitization) and deliver such Compliance Certification to Purchaser and any other requisite recipient at least three (3) Business Days prior to the deadline for delivering such Compliance Certification pursuant to the terms of the related Servicing Agreement (Securitization).
Compliance Certifications. The Seller Parties shall prepare, or cause to be prepared, each Compliance Certification for and deliver such Compliance Certification to Buyer and the related Trustee and any other requisite recipient at least three Business Days prior to the deadline for delivering such Compliance Certification pursuant to the terms of the related Servicing Agreement.
Compliance Certifications. At the time of the delivery of the ------------------------- financial statements provided for in Sections 6.01(a) and (b), a compliance certificate from the chief financial officer of the Company in the form of Exhibit G certifying on behalf of the Company that, to such officer's knowledge after due inquiry, no Default or Event of Default has occurred and is continuing or, if any Default or Event of Default has occurred and is continuing, specifying the nature and extent thereof, which certificate shall set forth in reasonable detail the calculations required to establish whether the Company and its Subsidiaries were in compliance with the provisions of Sections 6.20 through 6.23, inclusive, at the end of such fiscal quarter or year, as the case may be.
Compliance Certifications. The Company may require periodic certifications by Schwab with respect to its compliance of its Representatives with any of the particular compliance requirements set forth in this Agreement as well as the compliance with the Company's and GWFS's rules and Contracts. Failure to timely respond to such requests for certification may, in Company's and GWFS's sole discretion, result in compensation being withheld until such certification is provided or termination of this Agreement.
Compliance Certifications. The Company may require periodic certifications by Broker-Dealer with respect to its compliance of its Representatives with all of the particular compliance requirements set forth in this Agreement (i.e., Anti-Money Laundering, Compensation Disclosures, Suitability) as well as the compliance with the Company's and LFD's rules and policies. Failure to timely respond to such requests for certification may, in Company's and LFD's sole discretion, result in compensation being withheld until such certification is provided or termination of this Agreement.
Compliance Certifications. In connection with the delivery by the Master Servicer of each Monthly Report, a Responsible Officer of the Issuer will make on behalf of the Issuer any certifications designated to be made by the Issuer on the form of Monthly Report attached as an exhibit to the Supplement.
