Common use of Compliance by the Company Clause in Contracts

Compliance by the Company. All of the terms, covenants and conditions of this Agreement to be complied with and performed by the Company at or prior to the Closing shall have been complied with and performed by it in all material respects, and the representations and warranties made by the Company in this Agreement shall be true and correct in all material respects at and as of the Closing, with the same force and effect as though such representations and warranties had been made at and as of the Closing, except for (i) changes expressly contemplated by this Agreement and (ii) representations and warranties that are made as of a specific time, which shall be true and correct only as of such time.
