Complete Agreement of the Parties. The Board and the Association mutually agree that the terms and conditions set forth in this Agreement represent the full and complete understanding of both parties and can be altered only by the voluntary, mutual consent of both parties. The parties further agree that any future oral agreements or practices will not be recognized unless committed to writing and signed by the parties as a supplement to this Agreement.
Complete Agreement of the Parties. This Agreement, supersedes any and all other agreements, either oral or in writing, between the parties with respect to the subject matter hereof and contain all of the covenants and agreements between the parties with respect to such subject matter in any manner whatsoever. Each party to this Agreement acknowledges that no representations, inducements, promises of agreements, oral or otherwise, have been made by any party, or anyone herein, and that no other agreement, statement or promise not contained in this Agreement shall be valid or binding. This Agreement may be changed or amended by an amendment in writing signed by all of the parties or their respective successors in interest.

Complete Agreement of the Parties. This Subscription Agreement, the Note, the other Offering Documents and the other agreements or documents referred to herein or therein (if any) contain the entire agreement of the parties hereto with respect to the subject matter hereof and thereof, and supersede any prior or contemporaneous written or oral agreements between the Subscriber and the Company relating to the subject matter hereof or thereof. There are no representations, covenants or other agreements among such parties relating to the Company except as stated or referred to herein and in such other agreements or documents. In the event of any conflict between any provision of this Subscription Agreement and any provision of the Note or any other Offering Document, the terms of this Subscription Agreement shall control and prevail.
Complete Agreement of the Parties. This Agreement represents the complete agreement of the parties and replaces and supersedes any prior oral or written agreements or understandings. The agreement may only be modified or changed in writing as agreed upon and signed by both parties.
