Common use of Competitive Business Clause in Contracts

Competitive Business. For purposes if this Agreement, the term “Competitive Business” shall mean the marketing, sale or provision of products or services that directly compete against the products or services: (a) with which Executive was involved during his last year of employment with the Company; or (b) which the Company is developing, producing, marketing, selling or servicing (or plans to develop, produce, market, sell or service) and about which Executive gained any Confidential Information or trade secrets in the course of his employment with the Company.

Competitive Business. For purposes if of this Agreement, the term Agreement “Competitive Business” shall mean the marketing, sale or provision of products or services that directly compete against the products or serviceswill mean: (ai) with which Executive was involved during his last year any enterprise engaged in developing, selling or providing a consumer or physician Internet healthcare portal or interactive online personal health management products; and (ii) any enterprise engaged in any other type of employment with the Company; or (b) business in which the Company or one of its Affiliates is developingalso engaged, producing, marketing, selling or servicing (or plans to developbe engaged, produce, market, sell so long as I am directly involved in such business or service) and about which Executive gained any Confidential Information planned business on behalf of the Company or trade secrets in the course one of his employment with the Companyits Affiliates.

For purposes if As used in this Agreement, "competitive business" means any business or enterprise engaged in the term “Competitive Business” shall mean the marketing, sale business of providing any product or provision of products service then or services that directly compete against the products or services: (a) with which Executive was involved during his last year of employment with historically provided by the Company; , including, but not limited to, computer software or (b) systems for LAN or WAN connectivity to the Internet within the geographical areas of the United States, including Alaska and Hawaii, Puerto Rico, and Canada, as well as within the geographical area of any other country, territory or sovereignty in which the Company is developing, producing, marketing, selling or servicing (or plans to develop, produce, market, sell or service) and about which Executive gained any Confidential Information or trade secrets in has a presence by virtue of having established a dealership for its products at the course of his employment with the Companytime under consideration.

For purposes if of this Agreement, the term “Competitive Business” shall mean means any person or entity engaged in or planning to engage in the marketing, sale same lines of toy/game and children’s educational and entertainment products businesses conducted by the Company or provision of products or services that directly compete against the products or services: (a) with which Executive was involved during his last year of employment with the Company; or (b) for which the Company is developing, producing, marketing, selling or servicing (or plans has engaged in other than de minimis planning to develop, produce, market, sell or service) and about which Executive gained any Confidential Information or trade secrets in the course of his employment with the Companyconduct.
