Common use of Compensation and Expenses Clause in Contracts

Compensation and Expenses. (a) In consideration of the services provided by Forum pursuant to this Agreement, the Trust shall pay Forum, with respect to each Fund, the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.

Forum shall not charge the Trust for providing the legal services identified in Appendix B, except for those matters designated as Special Legal Services, as to which Forum may charge, and, subject to review and approval by the Chairman of the Audit Committee or Trust Counsel, the Trust shall pay, an additional amount as reimbursement of the cost to Forum of providing the Special Legal Services. Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month. Nothing in this Agreement shall require Forum to provide any of the services listed in clause (i) Appendix C, and each of those services may be performed by an outside vendor if appropriate in the judgment of Forum or the Trust. If fees begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.

Compensation and Expenses. In addition, the Trust shall reimburse CFA from the assets of each Fund certain reasonable expenses incurred by CFA on behalf of each Fund individually in connection with the performance of this Agreement. Such out-of-pocket expenses shall include, but not be limited to: documented fees and costs of obtaining advice of Fund counsel or accountants in connection with its services to each Fund; postage; long distance telephone; special forms required by each Fund; any economy class travel which may be required in the performance of its duties to each Fund; and any other extraordinary expenses it may incur in connection with its services to each Fund, provided that such extraordinary expenses must be approved by the Board of Trustees of the Trust prior to any reimbursement. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

The Fund acknowledges that CFS may from time to time earn money on amounts in the deposit accounts maintained by CFS to service the Funds (and other clients serviced by CFS). In connection with the services provided by CFS pursuant to this Agreement, the Trust, on behalf of each Fund, agrees to reimburse CFS for the expenses set forth in Schedule C hereto. In addition, the Trust, on behalf of the applicable Fund, shall reimburse CFS for all reasonable expenses and employee time (at 150% of salary) attributable to any review of the Trust's accounts and records by the Trust's independent accountants or any regulatory body outside of routine and normal periodic reviews. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund Portfolio commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a FundPortfolio, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.

Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv2(a)(xv) and clause (iii) of Appendix B C hereto, as such services may be performed by the Fund's independent accountant if appropriateappropriate in the judgment of Forum. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B C hereto shall be payable monthly in advance on the first tenth Fund business day of each calendar month for services to be performed during the following calendar that month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) of Appendix C hereto shall be payable monthly in arrears on the first day of each calendar month (the first fifth Fund business day of the calendar month after following the month in which a Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar monthoperations. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.

(a) In consideration of the services provided by Forum Citigroup pursuant to this Agreement, the Trust shall pay ForumCitigroup, with respect to each Fund, the fees set forth in Clause (i) Class of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B E hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses each clause (i) and (iii) of Appendix B E hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in each clause (ii) and clause (iii) and for all reimbursements as described in Section 4(b5(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum Citigroup such compensation as shall be payable prior to the effective date of termination. Nothing in this Agreement shall require Citigroup to perform any of the services listed in item (xxxi) of Appendix B, as such services may be performed by the Fund's independent accountant if appropriate.

Such out-of-pocket expenses shall include, but not be limited to: documented fees and costs of obtaining advice of Fund counsel or accountants in connection with its services to each Fund; postage; long distance telephone; special forms required by each Fund; any travel which may be required in the performance of its duties to each Fund; and any other extraordinary expenses it may reasonably and actually incur in connection with its services to each Fund. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

Compensation and Expenses. (a) In consideration of the The Trust agrees to pay CFA compensation for its services provided by Forum pursuant to this Agreement, the Trust shall pay Forum, with respect to each Fund, the fees as set forth in Clause (i) of Appendix B Schedule A attached hereto. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust Fund shall pay to Forum CFA such compensation as shall be payable prior to the effective date of termination. In addition, the Trust shall reimburse CFA from the assets of each Fund certain reasonable expenses incurred by CFA on behalf of each Fund individually in connection with the performance of this Agreement. Such out-of-pocket expenses shall include, but not be limited to: documented fees and costs of obtaining advice of Fund counsel or accountants in connection with its services to each Fund; postage; long distance telephone; special forms required by each Fund; any economy class travel which may be required in the performance of its duties to each Fund; and any other extraordinary expenses it may incur in connection with its services to each Fund, provided that such extraordinary expenses must be approved by the Board of Trustees of the Trust prior to any reimbursement. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

Compensation and Expenses. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as begin providing such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar montha date earlier than November 11, 2002. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination. The Trust acknowledges that Forum may from time to time earn money (the "Interest Income") on amounts in the deposit accounts maintained by Forum to service the Funds (and other clients serviced by Forum), provided that the Interest Income shall be used to offset the following fees for the Funds to the extent such Interest Income is attributable to money from the Trust or the Funds: (i) incoming wire fees, (ii) outgoing wire fees, (iii) check clearing fees, and (iv) ACH fees.

Compensation and Expenses. The Fund acknowledges that CFS may from time to time earn money on amounts in the deposit accounts maintained by CFS to service the Funds (and other clients serviced by CFS). In connection with the services provided by CFS pursuant to this Agreement, the Trust, on behalf of each Fund, agrees to reimburse CFS for the expenses set forth in Schedule C hereto. In addition, the Trust, on behalf of the applicable Fund, shall reimburse CFS for all reasonable expenses and employee time (at 150% of salary) attributable to any review of the Trust’s accounts and records by the Trust’s independent accountants or any regulatory body outside of routine and normal periodic reviews. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b5(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.

Compensation and Expenses. (a) In consideration of the administrative services provided by Forum pursuant to this Agreement, the Trust Allfirst shall pay or cause to be paid to Forum, with respect to each Class of each Fund, the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trustdaily. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto Base Fees shall be payable monthly in advance on the first third business day of each calendar month for services to be performed during the following calendar month. The fees Asset Charge shall be payable monthly in arrears on the third business day of each calendar month for services performed during the services listed in clause (ii) and for all reimbursements preceding calendar month. Reimbursements as described in Section 4(b5(b) shall be payable monthly in arrears on the first third day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust Allfirst shall pay to Forum such compensation as shall be payable prior to the effective date of termination. In the event that any of the services identified in Appendix C hereto are provided by personnel of the legal department of Forum, they will be provided at no additional charge to Allfirst or the Trust except those matters designated as Special Legal Services, as to which Forum may charge, and the Trust shall pay an additional amount as reimbursement of the cost of Forum providing such services. Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month.

Compensation and Expenses. (a) In consideration of the administrative services provided by Forum CFS pursuant to this Agreement, the Trust Fund shall pay Forum, with respect to each Fund, the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, CFS the fees set forth in clause (iii) of Appendix B heretoA hereto ("Administrative Services Fee"). In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder Administrative Services Fees shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) Fund daily and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month. In consideration of certain additional services provided by CFS, the Fund shall pay CFS the fees set forth in clause (ii) of Appendix A hereto. These fees shall be payable (i) for those services for which an annual fee is charged ("Annual Charges"), in the first day same manner and at the same time as the Administrative Services Fees, and (ii) for other services, five days after notification to the Fund by CFS that the services were performed. Nothing in this Agreement shall require CFS to perform any of the calendar month after the Fund commences operations in the case of the fees services listed in clause (ii) of Appendix B A hereto) for , as such services may be performed during by an outside vendor if appropriate in the prior calendar monthjudgment of CFS and the Advisor. In consideration of additional services provided by Forum to perform certain functions, the Trust Company shall pay Forum, with respect to each Fund thereof, the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the TrustCompany. The fees payable for the services listed in clauses (i) and (iiiii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior preceding calendar month. If fees payable for the services listed in clause clauses (i) and (ii) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust applicable Company shall pay to Forum such compensation as shall be payable prior to the effective date of termination. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xxxii), as such services may be performed by the Fund's independent accountant if appropriate. In the event that any of the legal services identified in Appendix C hereto are provided to a Company by personnel of the legal department of Forum, they will be provided at no additional charge to the Company except those matters designated as Special Legal Services, as to which Forum may charge, and the Company shall pay an additional amount as reimbursement of the cost of Forum providing such services. Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month. Nothing in this Agreement shall require Forum to provide any of the services listed in Appendix C hereto, as such services may be performed by an outside vendor if appropriate in the judgment of Forum.

Compensation and Expenses. (a) In consideration of the services provided by Forum ALPS pursuant to this Agreement, the Trust Fund shall pay Forum, with respect to each Fund, ALPS the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the TrustFund. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first business day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. Any out-of pocket charges incurred by ALPS as set forth in Appendix B shall be paid as incurred. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a FundAgreement, the Trust Fund shall pay to Forum ALPS such compensation compensation, as shall be payable prior to the effective date of termination. During each year of the term of this Agreement, unless the parties shall otherwise agree and provided that the service mix and volumes remain consistent with those provided in the previous year of this Agreement, the fee that would be charged for the same services would be the minimum annual base fee rate (as reflected in Appendix B) subject to an annual cost of living adjustment based on the Consumer Price Index for Urban Wage Earners and Clerical Workers, for the Denver-Boulder-Greeley area, as published bimonthly by the United States Department of Labor, Bureau of Labor Statistics, or, in the event that publication of such index is terminated, any successor or substitute index, appropriately adjusted, acceptable to all parties.

Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month. Nothing in this Agreement shall require Forum to provide any of the services listed in clause (i) Appendix B, and each of those services may be performed by an outside vendor if appropriate in the judgment of Forum or the Trust. If fees begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.

Compensation and Expenses. (a) In consideration of the The Trust agrees to pay CFS compensation for its services provided by Forum pursuant to this Agreement, the Trust shall pay Forum, with respect to each Fund, the fees as set forth in Clause (i) of Appendix B Schedule C hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust or as shall pay Forum, with respect to each Fund, the fees be set forth in clause (ii) amendments to such schedule approved by the Board of Appendix B hereto. In consideration Trustees of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect (the "Board") and CFS. Fees will begin to accrue for each Fund on the fees set forth in clause (iii) latter of Appendix B hereto. Nothing in the date of this Agreement shall require Forum to perform any or the date of commencement of operations of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the applicable Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust Fund shall pay to Forum CFS such compensation as shall be payable prior to the effective date of termination. The Fund acknowledges that CFS may from time to time earn money on amounts in the deposit accounts maintained by CFS to service the Funds (and other clients serviced by CFS). In connection with the services provided by CFS pursuant to this Agreement, the Trust, on behalf of each Fund, agrees to reimburse CFS for the expenses set forth in Schedule C hereto. In addition, the Trust, on behalf of the applicable Fund, shall reimburse CFS for all reasonable expenses and employee time at 150% of salary attributable to any review of the Trust's accounts and records by the Trust's independent accountants or any regulatory body outside of routine and normal periodic reviews. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

Compensation and Expenses. (a) Appendix B In consideration of the administrative services provided by Forum pursuant to this Agreement, the Trust shall pay Forum, with respect to each FundClass of each of the Funds, the fees set forth in Clause (i) of Appendix B A hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the These fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) Trust daily and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed under this Agreement during the prior calendar month. Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month. Nothing in this Agreement shall require Forum to provide any of the services listed in clause (i) Appendix B hereto, as such services may be performed by an outside vendor if appropriate in the judgment of Forum. Appendix B Notwithstanding anything in this Agreement to the contrary, Forum and its affiliated persons may receive compensation or reimbursement from the Trust with respect to (I) the provision of services on behalf of the Funds in accordance with any Plan or Service Plan, (ii) the provision of shareholder support or other services, (iii) service as a trustee or officer of the Trust and (iv) services to the Trust, which may include the types of services described in this Agreement, with respect to the creation of any Fund and the start-up of the Fund's operations.

Compensation and Expenses. (a) In consideration of the administrative services provided by Forum pursuant to this Agreement, the Trust shall pay Forum, with respect to each FundPortfolio, the fees set forth in Clause (i) of Appendix B hereto. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed under this Agreement during the prior calendar month. If fees Any of the legal services identified in Appendix C hereto may be provided to the Trust by personnel of the Legal Department of Forum, subject to satisfaction of the conditions contained in Section 7(c) to the consents and waivers by the Trust and Forum of any general conflict of interest existing as a result of the provision of those services. Forum shall not charge the Trust for providing the legal services identified in Appendix B, except for those matters designated as Special Legal Services, as to which Forum may charge, and, subject to review and approval by the Chairman of the Audit Committee or Trust Counsel, the Trust shall pay, an additional amount as reimbursement of the cost to Forum of providing the Special Legal Services. Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month. Nothing in this Agreement shall require Forum to provide any of the services listed in clause (i) Appendix C, and each of those services may be performed by an outside vendor if appropriate in the judgment of Forum or the Trust. If fees begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.or

Compensation and Expenses. (a) In consideration of the Distributor's services provided by Forum pursuant to this Agreementin connection with the distribution of Shares of each Fund and Class thereof, AmeriMutual shall receive: any applicable sales charge assessed upon investors in connection with the purchase of Shares; from the Corporation, any applicable contingent deferred sales charge ("CDSC") assessed upon investors in connection with the redemption of Shares; from the Corporation, the Trust shall pay Forum, distribution service fees with respect to each Fundthe Shares of those Classes as designated in Appendix A for which a Plan is effective (the "Distribution Fee"); and from the Corporation, the shareholder service fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth Shares of those Classes as designated in clause Appendix A for which a Service Plan is effective (ii) of Appendix B heretothe "Shareholder Service Fee"). In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) The Distribution Fee and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder Shareholder Service Fee shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) each applicable Fund or Class thereof and (iii) of Appendix B hereto shall be payable paid monthly in advance on as promptly as possible after the first last day of each calendar month for services to be performed during but in any event on or before the following calendar fifth (5th) Fund Business Day after month-end, at the rate or in the amounts set forth in the Plan(s). The Corporation grants and transfers to AmeriMutual a general lien and security interest in any and all securities and other assets of a Fund now or hereafter maintained in an account at the Fund's custodian on behalf of the Fund to secure any Distribution Fees and Shareholder Service Fees owed AmeriMutual by the Corporation under this Agreement. The Corporation shall cause its transfer agent (the "Transfer Agent") to withhold, from redemption proceeds payable to holders of Shares of the Funds and the Classes thereof, all CDSCs properly payable by the shareholders in accordance with the terms of the applicable Prospectus and shall cause the Transfer Agent to pay such amounts over to AmeriMutual as promptly as possible after the settlement date for each redemption of Shares. The Corporation shall be responsible and assumes the obligation for payment of all the expenses of the Funds, including fees payable and disbursements of its counsel and auditors, in connection with the preparation and filing of the Registration Statement and Prospectuses (including but not limited to the expense of setting in type the Registration Statement and Prospectuses and printing sufficient quantities for the services listed in clause (ii) internal compliance, regulatory purposes and for all reimbursements as described in Section 4(bdistribution to current shareholders). The Corporation shall bear the cost and expenses (i) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case registration of the fees listed in clause Shares for sale under the Securities Act; (ii) of Appendix B heretothe registration or qualification of the Shares for sale under the securities laws of the various States; (iii) for services performed during if necessary or advisable in connection therewith, of qualifying the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a FundCorporation, the Trust shall pay to Forum Funds or the Classes thereof (but not AmeriMutual) as an issuer or as a broker or dealer, in such compensation States as shall be selected by the Corporation and AmeriMutual pursuant to Section 6(c) hereof; and (iv) payable prior to each State for continuing registration or qualification therein until the effective date of terminationCorporation decides to discontinue registration or qualification pursuant to Section 6(c) hereof. AmeriMutual shall pay all expenses relating to AmeriMutual's broker-dealer qualification.

All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month Transfer Agency and Services Agreement to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust Fund shall pay to Forum FSI such compensation as shall be payable prior to the effective date of termination. The Fund acknowledges that FSI may from time to time earn money on amounts in the deposit accounts maintained by FSI to service the Funds (and other clients serviced by FSI). In connection with the services provided by FSI pursuant to this Agreement, the Trust, on behalf of each Fund, agrees to reimburse FSI for the expenses set forth in Schedule C hereto. In addition, the Trust, on behalf of the applicable Fund, shall reimburse FSI for all reasonable expenses and employee time at 150% of salary attributable to any review of the Trust’s accounts and records by the Trust’s independent accountants or any regulatory body outside of routine and normal periodic reviews. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

Compensation and Expenses. (a) In consideration of the services provided by Forum ALPS pursuant to this Agreement, the Trust shall pay Forum, with respect to each Fund, ALPS the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the TrustFunds. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first business day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. Any out-of pocket charges incurred by ALPS as set forth in Appendix B shall be paid as incurred. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a FundAgreement, the Trust Fund shall pay to Forum ALPS such compensation compensation, as shall be payable prior to the effective date of termination. During each year of the Term, unless the parties shall otherwise agree and provided that the service mix and volumes remain consistent with those provided in the previous year of this Agreement, the fee that would be charged for the same services would be the base fee rate (as reflected in Appendix B) subject to an annual cost of living adjustment based on the Consumer Price Index for Urban Wage Earners and Clerical Workers, for the Denver-Boulder-Greeley area, as published bimonthly by the United States Department of Labor, Bureau of Labor Statistics, or, in the event that publication of such index is terminated, any successor or substitute index, appropriately adjusted, acceptable to all parties.

Compensation and Expenses. (a) In consideration of the administrative services provided by Forum Allfirst pursuant to this Agreement, the Trust shall pay Forumor cause to be paid to Allfirst, with respect to each Class of each Fund, the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trustdaily. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto Base Fees shall be payable monthly in advance on the first third business day of each calendar month for services to be performed during the following calendar month. The fees Asset Charge shall be payable monthly in arrears on the third business day of each calendar month for services performed during the services listed in clause (ii) and for all reimbursements preceding calendar month. Reimbursements as described in Section 4(b5(b) shall be payable monthly in arrears on the first third day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum Allfirst such compensation as shall be payable prior to the effective date of termination. In the event that any of the services identified in Appendix C hereto are provided by personnel of the legal department of Forum, they will be provided at no additional charge to the Trust except those matters designated as Special Legal Services, as to which Allfirst may charge, and the Trust shall pay an additional amount as reimbursement of Allfirst's cost of Forum providing such services. Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month.

Reimbursement shall be payable monthly in arrears on the first day of each calendar month for services performed under this Agreement during the prior calendar month. Nothing in this Agreement shall require Forum to provide any of the services listed in clause (i) Appendix C, and each of those services may be performed by an outside vendor if appropriate in the judgment of Forum. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B A hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first business day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. Any out-of pocket charges incurred by ALPS as set forth in Appendix A shall be paid as incurred. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a FundAgreement, the Trust shall pay to Forum ALPS such compensation compensation, as shall be payable prior to the effective date of termination. During each year of the Term, unless the parties shall otherwise agree and provided that the service mix and volumes remain consistent with those provided in the previous year of this Agreement, the fee that would be charged for the same services would be the base fee rate (as reflected in Appendix A) subject to an annual cost of living adjustment based on the Consumer Price Index for Urban Wage Earners and Clerical Workers, for the Denver-Boulder-Greeley area, as published bimonthly by the United States Department of Labor, Bureau of Labor Statistics, or, in the event that publication of such index is terminated, any successor or substitute index, appropriately adjusted, acceptable to all parties.

Compensation and Expenses. (a) In consideration of the services provided by Forum pursuant to this Agreement, the Trust shall pay Forum, with respect to each Fund, the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust shall pay to Forum such compensation as shall be payable prior to the effective date of termination.

Compensation and Expenses. (a) In consideration As compensation for your services in connection with each Offer, the Company will pay you an aggregate fee equal to 1.75% of the aggregate face value of any Existing Notes validly tendered and accepted for exchange pursuant to such Offer. For each Offer, the total fee in respect of such Offer due and payable by the Company on the settlement date of such Offer (the “Closing Date” of such Offer) will be paid in immediately available funds to an account designated by you in writing at least two business days prior to such Closing Date. The Company agrees to pay (i) all fees and expenses relating to the preparation, filing, printing, mailing and publishing of the Exchange Offer Materials and Proxy Statement, (ii) all advertising charges, (iii) all brokers and dealers (including you), commercial banks, trust companies and nominees for their customary mailing and handling expenses incurred in forwarding the Exchange Offer Materials to their customers and (iv) all other fees and expenses in connection with each Offer, including those of any soliciting agent, the Information Agent, Exchange Agent or other person rendering services provided in connection therewith. The Company will also be responsible for reimbursing you for all out-of-pocket expenses incurred by Forum you in connection with your services as Dealer Manager, including the reasonable fees and expenses of your legal counsel (subject, however, in respect of such fees and expenses of your legal counsel, to the provisions of that certain letter agreement between and among the Dealer Manager, Lazard and the Company dated as of [the date hereof]). All payments to be made by the Company to you pursuant to this Agreement, the Trust Section 5 shall pay Forum, with respect be made promptly as incurred by you after submission by you of appropriate documentation relating to each Fund, the fees such expenses. The Company shall perform its obligations set forth in Clause (i) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform Company or any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services its subsidiaries or affiliates exchanges any Existing Notes pursuant to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. (a) In consideration of the administrative services provided by Forum pursuant to this Agreement, the Trust Administrator shall pay Forum, with respect to each Fund, the fees set forth in Clause (i) Class of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (iii) and for all reimbursements as described in Section 4(b) of Appendix B hereto shall be payable monthly in arrears on the first day of each calendar month within fifteen (the first day 15) business days following receipt of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) respective billing notice for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon Within fifteen (15) days after the termination of this Agreement with respect to a Fund, the Trust Administrator shall pay to Forum such compensation relating to such Fund as shall be payable prior to the effective date of such termination. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xxix), if such services are performed by the Fund's independent accountants. In the event that any of the legal services identified in Appendix C hereto are provided to the Administrator or the Trust by personnel of the legal department of Forum, they will be provided at no additional charge to the Administrator except those matters designated as Special Legal Services, as to which Forum may charge, and the Administrator shall pay an additional amount as reimbursement of the reasonable costs of Forum providing such services. Reimbursement shall be payable monthly in arrears fifteen (15) days after the bill is received for services performed under this Agreement durxxx the prior calendar month. Nothing in this Agreement shall require Forum to provide any of the services listed in Appendix C hereto, if such services are performed by an outside vendor.

Compensation and Expenses. (a) In consideration The District shall pay to the Dealer Manager, as compensation for the Dealer Manager’s services as Dealer Manager, a fee of $_____ for each $1,000 principal amount of Bonds tendered and purchased by the District pursuant to the Tender Offer. Such fee shall be payable concurrently with the payment for Bonds under the Tender Offer. Such fee shall only be payable by the District to the Dealer Manager upon issuance of the services provided Series 2021A Bonds and the Series 2021B Bonds. The Dealer Manager acknowledges that the District has the right under the Offer Materials to accept or reject any and all tenders of Bonds for purchase in its sole discretion. Whether or not any Bonds are tendered for purchase and accepted by Forum the District pursuant to the Tender Offer, the District shall pay all expenses of the preparation, printing, mailing and publishing of the Offer Material, all fees payable to securities dealers (including the Dealer Manager), commercial banks, trust companies and nominees as reimbursement of their customary mailing and handling expenses incurred in forwarding the Offer Material to their customers, all fees and expenses of DTC and any information agent and tender agent, all advertising charges, any applicable transfer taxes payable in connection with the Tender Offer and all other expenses in connection with the Tender Offer and shall reimburse the Dealer Manager for all expenses incurred by the Dealer Manager in connection with the Dealer Manager’s services under this Agreement, including, without limitation, the fees and the disbursements of the Dealer Manager’s counsel; provided, however, that the total amount of all such reasonable out-of-pocket expenses to be reimbursed by the District to the Dealer Manager including fee and disbursements of counsel shall not exceed __________ Dollars ($__________) without the prior consent of the District, such consent not to be unreasonably withheld. The Dealer Manager, upon the District’s request, will deliver reasonable back-up documentation for the expenses to be reimbursed pursuant to this paragraph to the extent such documentation is available. For purposes of this Agreement, the Trust term “out-of-pocket expenses” shall pay Forumalso include reasonable expenses relating to document production, with respect graphics, word processing, delivery, communications, and other similar expenses that may not be directly payable to each Fund, the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the TrustFund. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first business day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Compensation and Expenses. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust or as shall pay Forum, with respect to each Fund, the fees be set forth in clause amendments to such schedule approved by the Board of Directors of the Company (iithe “Board”) and FSI. Fees will begin to accrue for the Fund on the latter of Appendix B hereto. In consideration the date of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any or the date of commencement of operations of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a FundAgreement, the Trust Fund shall pay to Forum FSI such compensation as shall be payable prior to the effective date of termination. The Fund acknowledges that FSI may from time to time earn money on amounts in the deposit accounts maintained by FSI to service the Fund (and other clients serviced by FSI). In connection with the services provided by FSI pursuant to this Agreement, the Company, on behalf of the Fund, agrees to reimburse FSI for the expenses set forth in Schedule C hereto. In addition, the Company, on behalf of the Fund, shall reimburse FSI for all reasonable expenses and employee time (at 150% of salary) attributable to any review of the Company’s accounts and records by the Company’s independent accountants or any regulatory body outside of routine and normal periodic reviews. All fees and reimbursements are payable in arrears on a monthly basis and the Company, on behalf of the Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

Compensation and Expenses. 4.1 As compensation for the Services performed hereunder SPONSOR shall pay CRO the amounts specified in Exhibit B attached hereto and made a part hereof in accordance with the payment schedule set forth therein. The total amount of Direct Expenses payable by SPONSOR to CRO for Services rendered by CRO hereunder shall in no event exceed the total amount of FIVE MILLION EIGHT HUNDRED AND FIFTY TWO THOUSAND TWO HUNDRED AND EIGHTY EIGHT DOLLARS AND FORTY CENTS (a$5,852,288.40) In consideration without SPONSOR'S prior written approval in the form of the services provided by Forum a purchase order amendment. The total amount set forth above, or any agreed-upon adjustment, shall be inclusive of any and all overhead or internal costs of CRO. All work to be undertaken pursuant to this AgreementAgreement shall not commence until a preauthorized purchase order is in place between SPONSOR and CRO. 4.2 SPONSOR will reimburse CRO for all reasonable Pass-through Expenses actually incurred by CRO in connection with the performance of Services provided hereunder. SPONSOR will reimburse CRO for all such Pass-through Expenses, within thirty (30) days of receipt by SPONSOR of periodic itemized statements covering such expenses. Such expense statements will be accompanied by an invoice and such invoice shall be itemized in reasonable detail and shall include reasonable documentation (including all receipts associated with travel, lodging, food, etc.) in support of such expenses and invoice. The total amount payable by SPONSOR to CRO for such Pass-through Expenses shall in no event exceed the total amount of ONE MILLION AND FORTY SIX THOUSAND NINE HUNDRED AND EIGHTY ONE DOLLARS AND SIXTY SEVEN CENTS ($1,046,981.67), unless an increase in such amount is authorized in writing by SPONSOR in the form of a purchase order amendment. 4.3 If the scope of the Services or the time necessary to complete the Study change and such changes are beyond the reasonable control of CRO, the Trust shall pay Forum, fees and expenses to SPONSOR pursuant to such Exhibit will be adjusted as mutually agreed upon in writing by SPONSOR and CRO in the form of a purchase order amendment. In the event of disagreement with respect to each Fundsuch changes and/or fees and expenses to be paid therefor, the fees set forth Study will proceed and CRO will continue rendering its Services while the disagreement is being resolved. Resolution of such disputes shall be accomplished by good faith negotiations by a senior officer of each party within thirty (30) days of notice furnished in Clause (i) accordance with Section 12 hereunder. If necessary, thereafter, resolution of Appendix B hereto. Such fees as well as pass-through expenses pursuant to Section 4.2 hereof shall be paid in advance from time to time by SPONSOR into a separate bank account in the name of CRO. CRO shall transmit copies of such bank account statements together with a new Fundschedule of all payments from such account to SPONSOR quarterly. CRO shall direct such fees, when earned in accordance with the Clinical Research Agreement entered into among SPONSOR, CRO, the Trust shall pay ForumInvestigator(s) and/or CRO, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date paid to the end of that month or from Investigators and/or institutions in which the beginning of that month to the date of termination, Study is being conducted as the case may be. Any interest earned on said bank account funds shall remain in the fund and belong to SPONSOR. In the event the funds advanced by SPONSOR pursuant to this Section 4.4 are insufficient to cover the payment of fees and expenses to the Investigators, upon written notice from CRO, SPONSOR will promptly deposit into such bank account the additional amounts required. SPONSOR reserves the right to make all such pass-through payments under Sections 4.2 and 4.4 hereof directly to the Investigators, institutions and/or other third parties and the relevant Exhibit shall so provide. Clinical Research Agreements required for an Investigator at any Study site shall be prorated according among SPONSOR, CRO and the Investigator and/or institution and the form and content of such agreement shall be prepared and furnished to CRO by SPONSOR. 4.5 In order to enable SPONSOR to comply with applicable federal tax laws and regulations, CRO agrees to provide, if requested by SPONSOR, within forty-five (45) days after the proportion that close of each calendar year, the period bears total amount of funds which CRO and/or the Investigators received from SPONSOR relating to research activities during the full month in which the effectiveness or termination occurs. In the event that actual and accrued expenses indicated as Direct and "Pass-through Costs" in Exhibit B which are incurred by CRO at the conclusion of the Study are less than the amounts paid by SPONSOR for such compensation as shall be payable prior expenses, CRO will promptly refund to SPONSOR any excess amount paid at the effective date conclusion of terminationthe Study.

Compensation and Expenses. (a) In consideration of the The Trust agrees to pay CFS compensation for its services provided by Forum pursuant to this Agreement, the Trust shall pay Forum, with respect to each Fund, the fees as set forth in Clause (i) of Appendix B Schedule C hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust or as shall pay Forum, with respect to each Fund, the fees be set forth in clause (ii) amendments to such schedule approved by the Board of Appendix B hereto. In consideration Trustees of additional services provided by Forum to perform certain functions, the Trust shall pay Forum, with respect (the “Board”) and CFS. Fees will begin to accrue for each Fund on the fees set forth in clause (iii) latter of Appendix B hereto. Nothing in the date of this Agreement shall require Forum to perform any or the date of commencement of operations of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the applicable Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the Trust. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month. If fees payable for the services listed in clause (i) begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to a Fund, the Trust Fund shall pay to Forum CFS such compensation as shall be payable prior to the effective date of termination. The Fund acknowledges that CFS may from time to time earn money on amounts in the deposit accounts maintained by CFS to service the Funds (and other clients serviced by CFS). In connection with the services provided by CFS pursuant to this Agreement, the Trust, on behalf of each Fund, agrees to reimburse CFS for the expenses set forth in Schedule C hereto. In addition, the Trust, on behalf of the applicable Fund, shall reimburse CFS for all reasonable expenses and employee time at 150% of salary attributable to any review of the Trust’s accounts and records by the Trust’s independent accountants or any regulatory body outside of routine and normal periodic reviews. All fees and reimbursements are payable in arrears on a monthly basis and the Trust, on behalf of the applicable Fund, agrees to pay all fees and reimbursable expenses within five (5) business days following receipt of the respective billing notice.

Compensation and Expenses. (a) In consideration of the services provided by Forum pursuant to this Agreement, the Trust Corporation shall pay Forum, with respect to each Fund, the fees set forth in Clause (i) of Appendix B hereto. In consideration of the services provided by Forum to begin the operations of a new Fund, the Trust Corporation shall pay Forum, with respect to each Fund, the fees set forth in clause (ii) of Appendix B hereto. In consideration of additional services provided by Forum to perform certain functions, the Trust Corporation shall pay Forum, with respect to each Fund the fees set forth in clause (iii) of Appendix B hereto. Nothing in this Agreement shall require Forum to perform any of the services listed in Section 2(a)(xiv) and clause (iii) of Appendix B hereto, as such services may be performed by the Fund's independent accountant if appropriate. All fees payable hereunder shall be accrued daily by the TrustCorporation. The fees payable for the services listed in clauses (i) and (iii) of Appendix B hereto shall be payable monthly in advance on the first day of each calendar month for services to be performed during the following calendar month. The fees payable for the services listed in clause (ii) and for all reimbursements as described in Section 4(b) shall be payable monthly in arrears on the first day of each calendar month (the first day of the calendar month after the Fund commences operations in the case of the fees listed in clause (ii) of Appendix B hereto) for services performed during the prior calendar month.
