Compelled Disclosure of Confidential Information. Notwithstanding anything in the foregoing to the contrary, the Receiving Party may disclose Confidential Information pursuant to any governmental, judicial, or administrative order, subpoena, discovery request, regulatory request or similar method, provided that the Receiving Party promptly notifies, to the extent practicable, the Disclosing Party in writing of such demand for disclosure so that the Disclosing Party, at its sole expense, may seek to make such disclosure subject to a protective order or other appropriate remedy to preserve the confidentiality of the Confidential Information; provided in the case of a broad regulatory request with respect to the Receiving Party’s business (not targeted at Disclosing Party), the Receiving Party may promptly comply with such request provided the Receiving Party give (if permitted by such regulator) the Disclosing Party prompt notice of such disclosure. The Receiving Party agrees that it shall not oppose and shall cooperate with efforts by, to the extent practicable, the Disclosing Party with respect to any such request for a protective order or other relief. Notwithstanding the foregoing, if the Disclosing Party is unable to obtain or does not seek a protective order and the Receiving Party is legally requested or required to disclose such Confidential Information, disclosure of such Confidential Information may be made without liability.

Compelled Disclosure of Confidential Information. Notwithstanding the foregoing terms, the Receiving Party may disclose Confidential Information of the Disclosing Party if it is compelled by law enforcement agencies or regulators to do so, provided the Receiving Party gives the Disclosing Party prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a Party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to such Confidential Information.

In the event the Receiving Party receives any pertinent and authorized governmental, judicial, or administrative order subpoena, discovery request, regulatory request or similar request, the Receiving Party shall promptly notify, to the extent possible, the Disclosing Party in writing of such demand so that the Disclosing Party may, at its sole expense, seek to make such disclosure subject to a protective order or other appropriate remedy to preserve the confidentiality of the Confidential Information.
Compelled Disclosure of Confidential Information. The Committee Members must notify the County and any affected Grant Applicant in writing if they are subpoenaed by law to disclose Confidential Information prior to its disclosure. The County or the Grant Applicant may file a protective order to preserve the Confidential Information. The Parties agree to cooperate with any such request for a protective order. If a protective order is not an available remedy, as ordered by a Court, disclosure of such Confidential Information may be made without liability to Committee Members.
Compelled Disclosure of Confidential Information. If Receiving Party or any of its Representatives are requested pursuant to, or required by, applicable law or regulation or by legal or administrative process (including by oral questions, interrogatories, requests for information or documents, subpoena, civil investigative demand or similar process) to disclose any Confidential Information, then (to the extent permitted by applicable law) Receiving Party shall provide Disclosing Party with reasonably prompt written notice of such request or requirement, so that Disclosing Party, at its sole cost and expense, may seek an appropriate protective order or other remedy or waive compliance with the terms of this Agreement. In the event that such protective order or other remedy is not obtained, or Disclosing Party waives compliance, in whole or in part, with the terms of this Agreement, Receiving Party or its Representatives, as the case may be, shall be free to disclose that portion of the Confidential Information that is legally required to be disclosed.
Compelled Disclosure of Confidential Information. If at any time Recipient or Recipient’s Employer receives a subpoena, discovery request, court order, Freedom of Information Law request, or any other request or demand authorized by law seeking disclosure of the Confidential Information, he shall immediately notify MTA C&D and work cooperatively with MTA C&D to take all reasonable steps necessary to prevent disclosure, including the step of seeking protective treatment of the Confidential Information. Recipient shall not disclose any Confidential Information in response to such request until a court of law or other legal body renders a determination on the issue and then only after he has consulted with counsel from MTA C&D, provided MTA C&D’s counsel with copy of the court or legal body’s determination and confirmed in writing that MTA C&D’s counsel does not intend to pursue subsequent legal measures to protect the information.

Compelled Disclosure of Confidential Information. If Receiving Party or any Permitted Representative receives a request from a court of competent jurisdiction, a governmental body or any other third party to disclose all or part of Disclosing Party’s Confidential Information, Receiving Party agrees, to the extent lawful, to (a) immediately notify Disclosing Party of the request and the circumstances surrounding the request; (b) give Disclosing Party a reasonable opportunity to take defensive legal action; and (c) if disclosure is required, furnish only that portion of Disclosing Party’s Confidential Information which is required to be disclosed.
