Company's Duties. The Company shall diligently perform all duties incident to the origination, sale and servicing of the mortgage loans subject to this Agreement. In the performance of its servicing duties, the Company shall exercise the same degree of care it exercises when servicing mortgage loans for its own account, but in no event shall the Company exercise less care than a reasonable prudent servicer would exercise under similar circumstances. In addition, the Company shall comply with all of the provisions of the Guides and with all other requirements and instructions of Washington Mutual Mortgage. The Company shall perform such duties at its sole expense, except as otherwise expressly provided in the Guides.

Company's Duties. The powers conferred on the Company hereunder are solely to protect its interests in the Pledged Collateral and shall not impose any duty to exercise any such powers. Except for the safe custody of any Pledged Collateral in its possession and the accounting for moneys actually received by it hereunder, Company shall not have any duty as to any Pledged Collateral or as to the taking of any necessary steps to preserve rights against any parties or any other rights pertaining to any Pledged Collateral. Without limiting the generality of the foregoing, Company shall not have any responsibility for ascertaining or taking action with respect to calls, conversions, exchanges, maturities, tenders, or other matters relating to any Pledged Collateral, whether or not Company has or is deemed to have knowledge of such matters.
Company's Duties. It is expressly agreed, anything herein contained to the contrary notwithstanding, that the Company shall remain liable to perform all of the obligations, if any, assumed by it with respect to the Collateral and the Collateral Agent shall not have any obligations or liabilities with respect to any Collateral by reason of or arising out of this Mortgage, nor shall the Collateral Agent be required or obligated in any manner to perform or fulfill any of the obligations of the Company under or with respect to any Collateral.

Beginning as of the Effective Date, the Company shall not Distribute into the State of California Covered Product(s) that expose(s) a person to the Violative Daily Exposure Level, unless Covered Products(s) meet(s) the Warning requirements of this Agreement. Covered Product(s) that Company Distributes into the State of California after the Compliance Date, shall either (1) qualify as a Reformulated Product or (2) comply with the Warning requirements of this Agreement.

Company's Duties. The Company, will, in a timely fashion, provide the Agent/Distributor with sufficient data concerning the Products, and will exercise its best efforts to assure an adequate supply of the Products to the Agent. The Company further agrees to provide the Agent/Distributor with such information as is reasonably necessary for the Agent/Distributor to conduct its business.
Company's Duties. If the training does not correspond to the commitments made by the company within the framework of the present agreement, ESA may bring the internship to an end by denouncing the agreement. Beforehand, ESA shall inform the person responsible in the company, who shall acknowledge receipt of this information.
Company's Duties. The Company shall operate the Broadband Network in a manner that will not cause RF Interference to the Counties, public safety agencies or any tenants or licensees of Public Facilities or facilities owned by third-parties. The Company shall provide documentation showing that the Network Acceptance, Testing, and Compliance Plan has been satisfied for each new Broadcast Site as set forth in the Coverage, Phasing, and Implementation Plan. As a part of the Network Acceptance, Testing, and Compliance Plan, the Company shall conduct any tests or studies necessary to identify and avoid RF Interference. Such tests shall be conducted by the Company on an ongoing basis as needed. Each County reserves the right to conduct similar tests or studies at its own expense at any time, but subject to the Company’s reasonable requirements, such as time of day, or similar considerations, so as to avoid or minimize any disruption with the operation of the Broadband Network. All operations by Company shall be in compliance with all FCC requirements and Applicable Law. As provided herein, each County is required to disclose to the Company all County operations collocated with Broadcast Sites and the existence of any leasing or licensing agreements with third parties for the use of Public Broadband Towers.
