Common use of Company Representations Clause in Contracts

Company Representations. The Company hereby represents and warrants to Executive that (a) the execution, delivery and performance of this Agreement by the Company does not and will not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Company is a party or by which it is bound, and (b) upon the execution and delivery of this Agreement by Executive, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.

Company Representations. The Company hereby represents and warrants to the Executive that (a) the executionall acts required to be taken to authorize, delivery deliver and performance of perform this Agreement by and the obligations of the Company does not and will not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Company is a party or by which it is bound, provided for hereunder have been duly taken; and (b) upon the execution and delivery of this Agreement by Executivethe Company, this Agreement shall will be the a valid and binding obligation of the Company, enforceable in accordance with its terms.

The Company hereby represents and warrants to the Executive that (a) this Agreement has been duly authorized, executed and delivered by the Company and is a legal, valid and binding obligation of the Company and that the execution, delivery and performance of this Agreement by the Company does not and will not breach or be in conflict with, breach, violate or cause a default under with any contract, agreement, instrument, order, judgment or decree agreements to which the Company is a party or by which it is bound, and (b) upon the execution and delivery of this Agreement by Executive, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.

The Company hereby represents and warrants to Executive Employee that (a) the execution, delivery and performance by the Company of this Agreement by and any other agreements contemplated hereby to which the Company does is a party do not and will shall not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which the Company is a party or by which it is bound, and (b) upon the execution and delivery of this Agreement by Executive, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.

Company Representations. The Company hereby represents and warrants that it has all requisite corporate power and authority to Executive execute and perform this agreement; that (a) it constitutes a valid and binding obligation of the execution, delivery Company; and the execution and performance of this Agreement by the Company does not and agreement will not conflict with, breach, violate any provision of the Company's charter or cause a default under bylaws or any contract, agreement, instrument, order, judgment agreement or decree other instrument to which the Company is a party or by which it is bound, and (b) upon the execution and delivery of this Agreement by Executive, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.

Company Representations. The Company hereby warrants and represents and warrants to Executive that (a) the execution, delivery and performance of this Agreement by the Company does not has been duly authorized and will not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Company is a party or by which it is bound, and (b) upon the execution and delivery of that this Agreement by Executive, this Agreement shall be constitutes the valid and binding obligation of the Company, enforceable in accordance with its termsterms and (b) no director or executive officer of the Company is, as of the date hereof, aware of any legal claim the Company has against Employee relating in any manner to his employment by the Company or service as an officer thereof.

Company Representations. The Company hereby represents and warrants to Executive that (a) the execution, delivery and performance of this Agreement has been duly authorized, executed and delivered by the Company does not it and will not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Company is a party or by which it is bound, and (b) upon the execution and delivery of this Agreement by Executive, this Agreement shall be the valid and binding obligation of the Company, enforceable against the Company in accordance with its terms; (b) this Agreement does not require the approval of the stockholders of the Company; and (c) this Agreement does not violate any law, any order of any court or other agency of government, the Company’s Governing Documents, each as in effect on the date hereof.

The Company hereby represents and warrants to Executive Employee that (a) the execution, delivery and performance of this Agreement by the Company does not and will not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Company is a party or by which it is bound, and (b) upon the execution and delivery of this Agreement by ExecutiveEmployee, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.

The Company hereby represents and warrants to Executive Great Point that (a) the execution, delivery and performance of this Agreement by the Company does not and will not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which the Company is a party or by which it is bound, bound and (b) upon the execution and delivery of this Agreement by ExecutiveGreat Point, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.
