Common use of Company Reliance Clause in Contracts

Company Reliance. The Subscriber acknowledges that the Company and the Target will rely on the acknowledgments, understandings, agreements, representations and warranties of the Subscriber contained in this Subscription Agreement, provided, however, that the Closing may only be enforced against the Subscriber by the Company and/or the Target. The Company is irrevocably authorized to produce this Subscription Agreement or a copy hereof to any interested party in any administrative or legal proceeding or official inquiry with respect to the matters covered hereby.

Company Reliance. The Subscriber acknowledges that the Company and Company, the Placement Agent, the Target and others will rely on the acknowledgments, understandings, agreements, representations and warranties of the Subscriber contained in this Subscription Agreement, provided, however, that the Closing may only be enforced against the Subscriber by the Company. Prior to the Closing, the Subscriber agrees to promptly notify the Company and/or if any of the Target. The Company is irrevocably authorized to produce this Subscription Agreement or a copy hereof to any interested party acknowledgments, understandings, agreements, representations and warranties set forth herein are no longer accurate in any administrative or legal proceeding or official inquiry with respect to the matters covered herebymaterial respect.
