Best or S&P on retaining any currently held rating assigned to the Reinsurance Subsidiaries.

Best and “A-” or better by S&P (or, if one or both of such rating entities have ceased to provide ratings of the Reinsurance Subsidiaries, ratings that are equivalent or better from another internationally recognized rating entity). Purchaser shall have received a certificate signed on behalf of Seller by an authorized officer of Seller to such effect.
