Company Headquarters. Buyer acknowledges that the Company currently maintains its headquarters at 0000 Xxxxx 0, Xxxxxxxxx, Xxxxxxxxxxxx 00000. Buyer shall, and shall cause the Company to, maintain Company offices at such location for a period commencing on the Closing Date and ending on the date that is 12 months from the Closing Date.
Company Headquarters. The Company agrees to maintain the headquarters office of the Company in the city in which it is located as of the date of this Agreement or in another location mutually agreed by the Company and Buyer until at least the earlier of (a) the date of acquisition by Buyer of all the Voting Securities of the Company, (b) the date of termination of this Agreement pursuant to Section 12.01 or (c) a Change in Control of the Company (other than as a result of an acquisition by Buyer of all the Voting Securities of the Company). Buyer agrees that, if it acquires 100% of the Voting Securities of the Company, Buyer will maintain the headquarters office of the Company in its present or in another location reasonably acceptable to Buyer and the Incumbent Directors for a period of five years after completion of such acquisition.
Company Headquarters. Parent agrees that it shall keep and maintain the Company’s headquarters, located at 7000 Xxxxxx Xxxxx Xxxxx, Xxxx Xxxxxxx, Xxxxxxxxx, for a period of not less than twenty-four (24) months following the Effective Time.
Company Headquarters. The Parties agree that, until determined otherwise by the board of directors, the Company shall maintain its corporate headquarters in Omaha, Nebraska.
