Common use of Company Counsel Matters Clause in Contracts

Company Counsel Matters. On the Closing Date, the Placement Agent shall have received the favorable opinion of Xxxxx Xxxxxxx LLP, U.S. counsel for the Company, Xxxxxxx, British Virgin Islands counsel, and Beijing Hankun LLP, PRC Counsel for the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. On the Closing Date, the Placement Agent shall have received the favorable opinion of and negative assurance letter from Xxxxx Xxxxxxx LLP, U.S. outside counsel for the Company, and the favorable opinion of Xxxxxxx, British Virgin Islands counsel, and Beijing Hankun LLP, PRC Counsel for the Company, in each case, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.
