Commitment Date. This Agreement may be terminated and the sale and purchase of the Shares abandoned (i)(x) at any time prior to the Closing and prior to the termination of the Merger Agreement, by mutual written consent of OvaScience, the Company and any Purchaser listed on Schedule I hereto, (but solely with respect to himself, herself or itself only) and (y) at any time prior to the Closing and following the termination of the Merger Agreement, by either OvaScience, the Company or any Purchaser listed on Schedule I hereto (with respect to himself, herself or itself only), (ii)(x) if the Closing has not been consummated on or prior to 5:00 p.m., New York City time, on February 8, 2019, by any Purchaser listed on Schedule I hereto (with respect to himself, herself or itself only), upon written notice to OvaScience and the Company, and (y) if the Closing has not been consummated on or prior to 5:00 p.m., New York City time, on February 8, 2020, by either the Company or OvaScience, upon written notice to the Purchasers listed on Schedule I hereto, or (iii) by either OvaScience, the Company or any Purchaser listed on Schedule I (with respect to himself, herself or itself only) upon written notice to the other parties if consummation of the transactions contemplated hereby would violate any nonappealable order, degree or judgment of any Governmental Authority having competent jurisdiction or violate any stock exchange rule; provided, however, that the right to terminate this Agreement under this Section 8.22 shall not be available to any Person whose failure to comply with its obligations under this Agreement has been the cause of or resulted in the failure of the Closing to occur on or before such time.”
Commitment Date. The Recipient shall have Committed all of its CMF Award by no later than the date set forth in Schedule 1, which date shall be two (2) years after the Effective Date of this Assistance Agreement. Pursuant to the Act, the CDFI Fund shall recapture into the Capital Magnet Fund any amount of the CMF Award that has not been Committed for use by the Recipient as of the date set forth in Schedule 1 of this Assistance Agreement.
Commitment Date. The date of the vote of the Representatives committing the Company to construction of the Facilities pursuant to Section 4.1.
Commitment Date. Lessee shall provide Lessor with documentation in accordance with Paragraph 8(a) hereof by the date set forth in an Equipment Schedule or Commitment Letter issued by Lessor as the Commitment Expiration Date.
Commitment Date. The definition of "Commitment Date" in Section 1.01 of the Agreement is hereby amended in its entirety as follows:
Commitment Date. Notwithstanding the reporting requirements in this Assistance Agreement, including, but not limited to, Section 7.9 and Schedule 1-B, if the Recipient fails to have all of its CMF Award Committed by the date set forth in Schedule 1 of this Assistance Agreement, the Recipient shall notify the CDFI Fund in writing of this failure as a Material Event by no later than thirty (30) days after the Committed for use date set forth in Schedule 1 of this Assistance Agreement. Pursuant to the Act, the CDFI Fund shall recapture into the Capital Magnet Fund any amount of the CMF Award that has not been Committed for use by the Recipient as of the date set forth in Schedule 1 of this Assistance Agreement.
Commitment Date. “Commitment Date” shall mean the date(s) for which the CMF Award must be Committed for use as set forth in Section 3.2(h) herein, which is the date two years from the Effective Date of this Assistance Agreement wherein the CDFI Fund makes a Payment to the Recipient pursuant to this Assistance Agreement, in a Lump Sum or as an Initial Payment. For those Recipients who opt to receive the CMF Award in two Payments, the second Commitment Date is the date three years from the Effective Date of the Assistance Agreement.
Commitment Date. 5.
