Commercialization of Products. From and after the Effective Date, BMS shall have the sole right to Commercialize the Product in the Field in the Territory during the Royalty Term at its cost and expense. During the Royalty Term, BMS will use Diligent Efforts to Commercialize a Product in each Major Market for which BMS receives Regulatory Approval for such Product.

Commercialization of Products. The Parties agree and acknowledge that the Company will Commercialize, and develop a Commercialization strategy for all Products (including Products containing HMPL-004 or other Products that the Company has the right to Commercialize pursuant to any other agreement between it and Xxxxxxxxx or an Affiliate of Xxxxxxxxx) in their respective Fields, subject to the License Agreements and any other contractual undertakings of the Company from time to time. Such Commercialization strategy may result in the out-licensing of the Commercialization rights to the relevant Products in the Field to one or more Third Party providers if the Board deems such out-license to be in the Company’s best interest. Subject to Section 15.2, the Parties agree that prior to approaching any Third Party, the Company will discuss in good faith with Nestlé the terms upon which Nestlé may license the Commercialization rights to the relevant Products in the relevant Field but in no event will the Company be obliged to enter into such license.
Commercialization of Products. Astellas shall have sole responsibility for planning, coordinating, monitoring, and regulating all aspects of the promotion, marketing, distribution, sales and other commercialization activities of each Product in all countries in the Territory, except that, solely with respect to promotion of each Co-Promoted Product in the U.S. during the applicable Co-Promotion Term, each Party shall have the responsibility set forth herein and in the Co-Promotion Agreement. Astellas shall be responsible for all costs associated with the activities for which it is solely responsible, except to the extent they relate to a Co-Promoted Product and constitute Allowed Expenses.
Commercialization of Products. During the period commencing on the Effective Date and continuing for so long as WCCI is Commercializing a Product in accordance with its obligations under Section 3.9.2, (i) Paratek and its Affiliates shall not grant any rights (whether by license or otherwise) to any Third Party to such Product in the Territory (including, without limitation, any rights to the Lead Candidate from which such Product is Derived) and (ii) Paratek and its Affiliates shall not research, develop or commercialize such Product in the Territory (including, without limitation, any rights to the Lead Candidate from which such Product is Derived) in collaboration with, at the request of, or for the benefit (in whole or in part) of any Third Party.
