Commence Construction. Subject to the terms and conditions of this Agreement and subject to delays resulting from events of Force Majeure (as hereinafter defined), the Developer will Commence Construction of the Project by or before July 1, 2021. For purposes of this Section 3.1(A), “Commence Construction” shall mean the commencement of material and substantial work on the Project pursuant to Required Permits (as defined herein below) such as installation of footings and foundations and shall not be deemed to occur as a result of mere excavation work.

Commence Construction. The terms "Commence" or "Commenced" or "Commencing" Construction as used herein when referencing the Improvements or any portion thereof means the date when Developer (i) has completed all pre-construction engineering and design and has obtained all necessary licenses, permits and governmental approvals, has engaged all contractors and ordered all essential equipment and supplies as, in each case, can reasonably be considered necessary so that physical construction of the eligible Project (or applicable phase thereof) may begin and proceed to completion without foreseeable interruption, and (ii) has “broken ground” and begun physical, material renovation and construction (e.g., site preparation work or such other evidence of commencement of construction as may be approved by the City in its reasonable discretion) of such improvements on an ongoing basis without any Impermissible Delays. As to the City Projects, and with the exception of the City Wetlands Mitigation, it is a precondition to Commencement thereof that the Developer has closed on the purchase of the Project Parcel from the City.

Commence Construction. The State shall, with reasonable diligence and at its own cost and expense (except as expressly provided to the contrary herein and subject to the State’s receipt of funds attributable to the Bonds), and as soon as reasonably practicable following the Effective Date, commence the construction upon the Consolidated Facility Property of the Consolidated Facility Improvements more specifically described and depicted in, and in substantial accordance with, those certain plans and specifications as are more specifically described and referenced on Exhibit A-4 attached hereto and made a part hereof (the “Consolidated Facility Plans”). The Consolidated Facility Improvements shall include, if applicable and to the extent reflected on the Consolidated Facility Plans, (i) any and all USTs to be installed as part of the initial construction of the Consolidated Facility, and title to such USTs shall immediately pass to RAC upon substantial completion thereof, subject to Article IV.C. (Surrender of the Premises) hereof, and (ii) any and all on-site and off-site preparation and improvements necessary or desirable in connection with the Consolidated Facility Improvements, including, without limitation, earthwork, roadwork, off-site transportation-related improvements, wetland mitigation, the extension of utilities, storm water drainage, and water retention or detention for the Consolidated Facility Property. The State shall thereafter diligently pursue completion of the Consolidated Facility Improvements, subject to force majeure delays and delays attributable to the acts or omissions of RAC. The State shall not be liable for any delays in the completion of the Consolidated Facility Improvements.‌

Commence Construction. ZRZ will Commence Construction of the Phase 2 Greenway no later than ZRZ’s Commencement of Construction of permanent Phase 2 Project or Projects that, (i) are located on a Site partially or completely within the South Waterfront Greenway Area, as that area is identified at PCC 33.510.253, Figure 510-2, and (ii) will produce an assessed taxable value of at least $75,000,000 (the “Phase 2 Greenway Construction Triggering Project”), subject to the precondition that ZRZ will not be obligated to construct any portion of the Phase 2 Greenway unless and until PDC has identified and encumbered funds for construction (and if ZRZ has confirmed the commitment of funds from the other parties to the Transition Trails DA) pursuant to Section 7.3.3 below. If funding from PDC for construction of the Phase 2 Greenway pursuant to this Section 7.3.2.1 has not been identified and encumbered at the time ZRZ desires to construct the Phase 2 Greenway Construction Triggering Project or is otherwise required to construct the Phase 2 Greenway by the terms of a City Greenway Review approval, then ZRZ may, in its sole and absolute discretion, construct the entire Phase 2 Greenway consistent with the final design agreed upon pursuant to Section 7.3.1 above. In such event ZRZ shall be reimbursed by PDC for PDC’s share of such costs as per Section 7.3.3 below, from cash or cash equivalent, subject to the preconditions that (i) PDC and ZRZ shall agree in writing to the terms and timeline for reimbursement by PDC to ZRZ in advance of any costs being incurred, and (ii) PDC is not obligated to reimburse ZRZ for any costs incurred prior to both Parties’ execution of a written agreement on the terms and timeline of reimbursement. Construction of the Phase 2 Greenway may occur in multiple phases, subject to mutual agreement by ZRZ, PDC, PP&R, and OHSU, each in its sole but reasonable discretion.
Commence Construction. Developer shall commence construction of the Project and the foundation shall be in place within one hundred eighty (180) days from the Close of Escrow.
