Collection Account Agreement. Borrower and the Collection Account Bank shall have executed and delivered the Collection Account Agreement and shall have delivered an executed copy of such agreement to Lender.
Collection Account Agreement. With respect to each Non-Marriott Property, each applicable Borrower, the Operating Lessee, each Manager and the relevant Collection Account Banks shall have executed and delivered the Collection Account Agreements and shall have delivered an executed copy of such Agreement to Lender.
Collection Account Agreement. Lender shall have received the Collection Account Agreement, executed and delivered by a duly authorized officer of the Borrower and the Collection Agent.
Collection Account Agreement. Promptly (and, in any case, within 10 days) following the occurrence of a Servicer Termination Event, the Collection Agent shall establish an account (the "Collection Account") with an office or branch of a depository institution or trust company organized under the laws of the United States or any one of the states thereof (or any domestic branch of a foreign bank) and otherwise acceptable to the Administrative Agent (the "Collection Account Bank"). The Collection Account shall be maintained in the name of the Administrative Agent as agent for the Transferees and shall be at all times subject to a Collection Account Agreement. Following establishment of the Collection Account, the Collection Agent shall (i) transfer or cause to be transferred, all Collections on deposit in each Lock-Box Account to the Collection Account not later than the close of business on the second (2nd) Business Day after such Collections are received in such Lock-Box Account, and (ii) promptly (but in no event later than two (2) Business Day after the receipt thereof) deposit all Collections received directly by it in the Collection Account. Neither the Transferor nor the Collection Agent shall deposit or otherwise credit, or cause or permit to be so deposited or credited, to the Collection Account cash or cash proceeds other than Collections.
Collection Account Agreement. (a) Each REC Subsidiary has previously transferred to CIBC as agent for ASCC, the exclusive ownership and control of the Collection Account of such REC Subsidiary, as evidenced by the Collection Account Agreement to which such REC Subsidiary is a party, and such REC Subsidiary shall claim no further right, title and/or interest in and to such Collection Account nor any rights to withdraw funds therefrom except as provided in Section 3.7. Each REC Subsidiary hereby authorizes the Special Purpose Purchaser and CIBC, as agent for ASCC, and agrees that the Special Purpose Purchaser and CIBC, as agent for ASCC, shall be entitled to, (i) endorse such REC Subsidiary's name on checks and other instruments representing Collections on Existing Receivables, (ii) enforce the Existing Receivables sold by such REC Subsidiary, and (iii) take such action as shall be reasonably necessary or desirable to cause all cash, checks and other instruments constituting Collections of Existing Receivables to come into the possession of the Special Purpose Purchaser (or its designees) rather than such REC Subsidiary.
Collection Account Agreement. Such Seller shall cause the Collection Bank to irrevocably transfer (which transfer is coupled with an interest) to the Purchaser and NTFC, for the benefit of Purchaser and NTFC, the exclusive ownership, dominion and control over the Collection Account (including all monies deposited therein) within five (5) Business Days of the date of the initial Incremental Purchase, which transfer shall provide for the joint signing authority of Purchaser and NTFC.
