Closure / Termination of Agreement. 6.1 If a Data Controller wishes to terminate this Information Sharing Agreement it shall serve notice to all other Data Controllers giving at least 30 days notice. Termination will result in data originally provided by the terminating Data Controller being retained by the Project. A copy of this data will be provided to the terminating Data Controller.

Closure / Termination of Agreement. This Agreement may be suspended by any partner for up to 30 days, in the event of any significant breach in order to negotiate appropriate remedial action. Where negotiations do not successfully resolve the concerns of any partner, the agreement may be terminated in writing with immediate effect.
Closure / Termination of Agreement. Any Partner organisation can suspend the disclosure of personal data to the other Partners and/or to any permitted third parties for 45 days if security has been seriously breached and all Partners informed immediately. If this is necessary, this should be made in writing and be evidenced. Where necessary, steps will be taken to restrict access to the system as soon as possible. For the avoidance of doubt, the suspension of disclosure shall not relieve any of the Partners from their other obligations set on this Agreement. Any suspension will be subject to a Risk Assessment and Resolution meeting, the panel of which will be made up of the signatories of this Agreement, or their nominated representatives. This meeting is to take place within 14 days of any notice of suspension.
Closure / Termination of Agreement. Any of the parties can opt out of this sharing agreement at any time but must provide a notice period of not less than 30 days. This must be communicated in writing to the Head of Primary Care Commissioning in the Primary Care Team at the associated Clinical Commissioning Groups. It is the responsibility of the practice opting out to communicate this to all the partners to the data sharing agreement and inform the EMIS provider to stop the access to the practice data from the hub. If a practice does decide to opt of the data sharing agreement, then it is the responsibility of the GP Practice to communicate to patients that they can no longer access the urgent care hub for appointments due to this termination of sharing information.

  • DURATION AND TERMINATION OF AGREEMENT This Agreement shall become effective with respect to each Portfolio on the later of (i) its execution and (ii) the date of the meeting of the Board of Trustees of the Trust, at which meeting this Agreement is approved as described below. The Agreement will continue in effect for a period more than two years from the date of its execution only so long as such continuance is specifically approved at least annually either by the Trustees of the Trust or by a majority of the outstanding voting securities of each of the Portfolios, provided that in either event such continuance shall also be approved by the vote of a majority of the Trustees of the Trust who are not interested persons (as defined in the Investment Company Act) of any party to this Agreement cast in person at a meeting called for the purpose of voting on such approval. If any required shareholder approval of this Agreement or any continuance of the Agreement is not obtained, the Subadviser will continue to act as investment subadviser with respect to such Portfolio pending the required approval of the Agreement or its continuance or of a new contract with the Subadviser or a different adviser or subadviser or other definitive action; provided, that the compensation received by the Subadviser in respect of such Portfolio during such period is in compliance with Rule 15a-4 under the Investment Company Act. This Agreement may be terminated at any time, without the payment of any penalty, by the Trustees of the Trust, by the vote of a majority of the outstanding voting securities of the Trust, or with respect to any Portfolio by the vote of a majority of the outstanding voting securities of such Portfolio, on sixty days' written notice to the Adviser and the Subadviser, or by the Adviser or Subadviser on sixty days' written notice to the Trust and the other party.   • Transition of Registry upon Termination of Agreement Upon expiration of the Term pursuant to Section 4.1 or Section 4.2 or any termination of this Agreement pursuant to Section 4.3 or Section 4.4, Registry Operator shall provide ICANN or any successor registry operator that may be designated by ICANN for the TLD in accordance with this Section 4.5 with all data (including the data escrowed in accordance with Section 2.3) regarding operations of the registry for the TLD necessary to maintain operations and registry functions that may be reasonably requested by ICANN or such successor registry operator. After consultation with Registry Operator, ICANN shall determine whether or not to transition operation of the TLD to a successor registry operator in its sole discretion and in conformance with the Registry Transition Process; provided, however, that (i) ICANN will take into consideration any intellectual property rights of Registry Operator (as communicated to ICANN by Registry Operator) in determining whether to transition operation of the TLD to a successor registry operator and (ii) if Registry Operator demonstrates to ICANN’s reasonable satisfaction that (A) all domain name registrations in the TLD are registered to, and maintained by, Registry Operator or its Affiliates for their exclusive use, (B) Registry Operator does not sell, distribute or transfer control or use of any registrations in the TLD to any third party that is not an Affiliate of Registry Operator, and (C) transitioning operation of the TLD is not necessary to protect the public interest, then ICANN may not transition operation of the TLD to a successor registry operator upon the expiration or termination of this Agreement without the consent of Registry Operator (which shall not be unreasonably withheld, conditioned or delayed). For the avoidance of doubt, the foregoing sentence shall not prohibit ICANN from delegating the TLD pursuant to a future application process for the delegation of top-­‐level domains, subject to any processes and objection procedures instituted by ICANN in connection with such application process intended to protect the rights of third parties. Registry Operator agrees that ICANN may make any changes it deems necessary to the IANA database for DNS and WHOIS records with respect to the TLD in the event of a transition of the TLD pursuant to this Section 4.5. In addition, ICANN or its designee shall retain and may enforce its rights under the Continued Operations Instrument for the maintenance and operation of the TLD, regardless of the reason for termination or expiration of this Agreement.

  • Termination of Agreement for Cause 5.1.1. If A/E breaches any of the covenants or conditions of this AGREEMENT, COUNTY shall have the right to terminate this AGREEMENT upon ten (10) days written notice prior to the effective day of termination.
