Common use of Closing Time and Place Clause in Contracts

Closing Time and Place. The closing of the transaction contemplated hereby (the "Closing") shall occur at a date, time and location agreeable to the Parties, as soon as all conditions under Sections 5.1, 5.2 and 5.3 have been satisfied or waived, but in no event later than May 15, 2020. If any condition under Section 5.1, 5.2 or 5.3 is not satisfied or waived on or before May 15,, 2020, this Agreement shall terminate without further obligation of any Party, subject to any liability for breach of this Agreement accruing prior to such date.
