Common use of Closing Deliveries of Seller Clause in Contracts

Closing Deliveries of Seller. At the Closing, Seller will deliver and cause to be delivered (i) such bills of sale and instruments of assignment, conveyance and transfer as shall be reasonably agreed upon by Buyer and Seller to effect or evidence the sale, assignment, conveyance, transfer and delivery of the Assets to Buyer, and (ii) all closing certificates, Ancillary Agreements and other documents required to be delivered by Seller, Seller Subsidiary and each if its and their Affiliates to Buyer at the Closing pursuant to this Agreement.

Closing Deliveries of Seller. At the Closing, Seller will deliver and or cause to be delivered to Buyer (i) such deeds, bills of sale and instruments of assignment, conveyance and transfer assignment as shall reasonably be reasonably agreed upon requested by Buyer and Seller to effect or evidence the sale, assignment, conveyance, transfer and delivery of the Assets to Buyer, and (ii) all closing certificates, Ancillary Agreements opinions of counsel and other documents required to be delivered by Seller, Seller Subsidiary and each if its and their Affiliates to Buyer at the Closing pursuant to this Agreement.

Closing Deliveries of Seller. At the Closing, Seller Sellers ---------------------------- will deliver and cause to be delivered Buyer (i) such bills of sale and instruments of assignment, conveyance and transfer as shall reasonably be reasonably agreed upon requested by Buyer and Seller to effect or evidence the sale, assignment, conveyance, transfer and delivery of the Transferred Assets to Buyer, and (ii) all closing certificates, Ancillary Agreements opinions of counsel and other documents (including Parent Security Documents) required to be delivered by Seller, Seller Subsidiary and each if its and their Affiliates Sellers to Buyer at the Closing pursuant to this Agreement.

Closing Deliveries of Seller. At the applicable Closing, Seller will deliver and cause to be delivered Buyer (i) such bills of sale and instruments of assignment, conveyance and transfer as shall reasonably be reasonably agreed upon requested by Buyer and Seller to effect or evidence the sale, assignment, conveyance, transfer and delivery of the Ground Satellite Assets or the In-Orbit Satellite Assets, as applicable, to BuyerBuyer or Newco, as the case may be, and (ii) all closing certificates, Ancillary Agreements opinions of counsel and other documents required to be delivered by Seller, Seller Subsidiary and each if its and their Affiliates to Buyer at the such Closing pursuant to this Agreement.
