Closing Deliverables of Seller. At the Closing, Seller shall deliver or cause to be delivered to Purchaser the following:
Closing Deliverables of Seller. At the Closing, Seller shall deliver to Acquiror (a) the certificates representing the Shares, duly endorsed in blank, or accompanied by stock powers duly executed in blank by Seller and (b) the certificates and other documents required to be delivered pursuant to Section 8.2.

At the Closing, Seller shall deliver, or cause to be delivered, the following to Purchaser a xxxx of sale and assignment and assumption agreement, duly executed by Seller, including (a) an assignment to Purchaser, executed by Seller, assigning the entire right, title and interest of Seller in, to and under the Transferred Contract, and (b) an assignment to Purchaser, executed by Seller, assigning the entire right, title and interest of Seller in, to and under the Transferred IP, and (e) evidence satisfactory to Purchaser of the requisite approval by Seller of the sale of the Transferred Assets to Purchaser.
Closing Deliverables of Seller. Seller shall have delivered or caused to be delivered to Buyer and the Payment Agent the closing deliverables required to be delivered by Seller pursuant to Section 3.2(a) (except for such deliverables as by their nature are to be delivered at the Closing but subject to the delivery of such deliverables).
Closing Deliverables of Seller. At the Closing, Seller shall deliver a Bxxx of Sale to Buyer (See Attachment B) and make available to Buyer: i) all documentation in the possession of Seller that is necessary to operate and use the Purchased Assets; and ii) such other instruments and documents as may be reasonably necessary to consummate the transactions contemplated by this Agreement.
Closing Deliverables of Seller. On or prior to the Closing Date, Seller shall have delivered, or caused to have delivered, to Buyer, or Buyer shall have waived, all of the following:
