Common use of Closing Certificate Clause in Contracts

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of a Responsible closing certificate signed by an Authorized Officer of the Borrower, substantially in the form of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.2.Exhibit F hereto;

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of Borrower certifying that the conditions set out specified in Section 4.1 Sections 4.02(a) and Section 4.24.02(b) have been satisfied.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.24.2 and which attaches a copy of the First Lien Credit Agreement certified as being true and complete.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate, dated the Effective Date and signed by a Responsible Officer of the Borrower, of even date confirming compliance with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out forth in paragraphs (a) and (b) of Section 4.1 and Section 4.24.02.

Closing Certificate. The Administrative Agent shall have received an officer’s certificate executed by a “Closing Certificate” of a Responsible Financial Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of U.S. Borrower certifying that the conditions set out in Section 4.1 Sections 4.01(xiv) and Section 4.24.01(xvii) have been satisfied or will be substantially satisfied concurrently with the initial Credit Event on the Closing Date.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate of a Responsible Officer of the Borrower, of even date with this Agreementdated the Closing Date, in which such officer certifies to the confirming satisfaction of each of the conditions set out forth in Section 4.1 4.01(o), Section 4.01(p), Section 4.02(a) and Section 4.24.02(b).

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of Borrowerthe Borrower as to such matters as reasonably requested, of even date with this Agreement, including certifying that the conditions specified in which such officer certifies to the satisfaction of each Sections 4.02(a) and (b) have been satisfied and a pro forma calculation of the conditions set out in Section 4.1 and Section 4.2financial covenants as of June 30, 2011.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies the Borrower certifying as to the satisfaction of each of the conditions set out forth in Section 4.1 Sections 3(g) and Section 4.2.(m) hereof;

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of Borrowerthe Borrower as to such matters as reasonably requested, of even date with this Agreement, including certifying that the conditions specified in which such officer certifies to the satisfaction of each Sections 4.02(a) and (b) have been satisfied and a pro forma calculation of the conditions set out in Section 4.1 and Section 4.2financial covenants as of June 30, 2012.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of Borrowerthe Borrower as of the Closing Date, of even date with this Agreement, in which such officer certifies to the satisfaction of each of certifying that the conditions set out forth in Section 4.1 Sections 4.01(n), 4.02(a) and Section 4.24.02(b) have been satisfied.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in subsections (b), (d) and (m) of Section 4.1 and subsections (a), (b) and (c) of Section 4.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of Borrowerthe Borrower as to such matters as reasonably requested, of even date with this Agreement, including certifying that the conditions specified in which such officer certifies to the satisfaction of each Sections 4.02(a) and (b) have been satisfied and a pro forma calculation of the conditions set out in Section 4.1 and Section 4.2financial covenants as of June 30, 2017.

Closing Certificate. The Administrative Agent (or its counsel) shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies the Borrower certifying as to the satisfaction of each of the conditions set out forth in Section 4.1 and Section 4.24.01(n)(ii) as of the Closing Date.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies the Lead Borrower certifying as to the satisfaction of each of the conditions set out forth in Section 4.1 5.01(g) and Section 4.25.01(h) above.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies the Borrower certifying as to the satisfaction of each of the conditions set out forth in Section 4.1 and Section 4.25.01(g) above.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate of a Responsible Officer of the Borrower, of even date with this Agreementdated the Closing Date, in which such officer certifies to the confirming satisfaction of each of the conditions set out forth in Section 4.1 4.02(a) and Section 4.24.02(b).

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in subsections (b), (d) and (k) of Section 4.1 and subsections (a), (b) and (c) of Section 4.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of the Borrower, of even date with this Agreement, in which such officer certifies to certifying that the satisfaction of each of the conditions condition set out forth in Section 4.1 and Section 4.24.6 is satisfied.

Closing Certificate. The Administrative Agent shall have received from the Borrower a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreementcompleted and fully executed closing certificate, in which such officer certifies form and substance satisfactory to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.2Administrative Agent.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate, duly executed and delivered by an officer of a Responsible Officer of the Borrower, of even date with this Agreement, in which such officer certifies certifying as to the satisfaction of each of the conditions set out contained in clauses (g), (h) and (i) of this Section 4.1 and Section 4.24.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies the Lead Borrower certifying as to the satisfaction of each of the conditions condition set out forth in Section 4.1 and Section 4.25.01(g) above.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a an Responsible Officer of Borrower, dated as of even date with this Agreementthe First Amendment Effective Date, in which such officer certifies to the satisfaction or waiver of each of the conditions set out in this Section 4.1 3.1 and Section 4.24.2 of the Credit Agreement, provided that, to the extent such conditions precedent expressly require conditions be satisfied to the “satisfaction” of any Lender or the Administrative Agent (or similar subjective standards), such Responsible Officer shall not be required to certify that such subjective standards have been met.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, the Borrower dated as of even date with this Agreement, the Closing Date in which such officer Responsible Officer certifies to the satisfaction of each of the conditions set out in this Section 4.1 7.1 and subsections (a) and (b) of Section 4.27.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate of a Responsible Officer of the Borrower, dated as of even date with this Agreementthe Closing Date, in which such officer certifies to the confirming satisfaction of each of the conditions set out forth in Section 4.1 SectionSubsection 6.1(i) and Section 4.2SectionSubsection 6.1(o).

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of the Borrower, of even date with this Agreement, dated the Effective Date and reasonably satisfactory in which such officer certifies form and substance to the Administrative Agent, certifying the satisfaction of each of the conditions set out forth in Section 4.1 and Section 4.2.V.B.;

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.24.1.

Closing Certificate. The Administrative Agent shall have received an officer’s certificate executed by a “Closing Certificate” of a Responsible Financial Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of U.S. Borrower certifying that the conditions set out in Section 4.1 Sections 4.01(xiv) and Section 4.2.4.01(xvii) have been satisfied or will be substantially satisfied concurrently with the initial Credit Event on the Closing Date. Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer Responsible Officer certifies to the satisfaction of each of the conditions set out in this Section 4.1 7.1 and subsections (a) and (b) of Section 4.27.2.

Closing Certificate. Administrative Agent shall have received a “"Closing Certificate” " of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate signed by a duly authorized officer of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies the Company as to the satisfaction matters set forth in paragraphs (b) and (c) of each of the conditions set out in this Section 4.1 and Section 4.24.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in subsections Section 4.1 4.1(d), (l), (n) and (o) and Section 4.24.2(a), (b) and (d).

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” closing certificate signed by an Authorized Officer (such term being used herein as defined in the Restated Credit Agreement) of a Responsible Officer of the Borrower, substantially in the form of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.2.Exhibit E.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.2.form attached as Exhibit E.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” Certificate of a Responsible Officer of Borrower, of even date with this Agreement, the Borrower certifying the matters referred to in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 paragraphs (c) and Section 4.2(d).

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of a Responsible certificate signed by an Authorized Officer of the Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each dated as of the Agreement Date, certifying that the conditions set out specified in Section 4.1 and Section 4.2Sections 5.01 have been satisfied as of the Agreement Date.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of Borrowerthe Borrower as to such matters as reasonably requested, of even date with this Agreement, including certifying that the conditions specified in which such officer certifies to the satisfaction of each Sections 4.02(a) and (b) have been satisfied and a pro forma calculation of the conditions set out in Section 4.1 and Section 4.2financial covenants as of September 30, 2010.

Closing Certificate. The Administrative Agent shall have received in form and substance satisfactory to it a “Closing Certificate” certificate of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies the Borrower certifying as to the satisfaction of each matters described in Sections 6(b), (c), (e) (including, but not limited to, a certification as to the fully executed documentation governing the terms and conditions of the conditions set out in Section 4.1 Equity Contribution copies of which shall be attached to such certificate), and Section 4.2(s).

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of a Responsible certificate or certificates executed by an Authorized Officer of Borrowerthe Borrower as of the Closing Date, substantially in the form of even date with this Agreement, in which such officer certifies Exhibit 4.1(l) certifying as to the satisfaction of each of the conditions set out referred to in Section 4.1 and Section 4.2.(e), (f),

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate of a Responsible Officer of the Borrower, of even date with this Agreementdated the Effective Date, in which such officer certifies to the confirming satisfaction of each of the conditions set out forth in clause (b) and (c) of this Section 4.1 and Section 4.25.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of a Responsible certificate or certificates executed by an Authorized Officer of Borrowerthe Borrower as of the Closing Date, substantially in the form of even date with this Agreement, in which such officer certifies Exhibit 4.1(l) certifying as to the satisfaction of each of the conditions set out referred to in Section 4.1 (e), (f), (k) and Section 4.2(m).

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrowerthe Manager, dated as of even date with this Agreementthe Closing Date, in which such officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and in Section 4.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of Borrower certifying that the conditions set out specified in Section 4.1 Sections 4.02(a), 4.02(b) and Section 4.24.02(c) have been satisfied.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a an Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction or waiver of each of the conditions set out in subsections of Section 4.1 and Section 4.2; provided that, to the extent such conditions precedent expressly require conditions be satisfied to the “satisfaction” of any Lender or the Administrative Agent (or similar subjective standards), such Responsible Officer shall not be required to certify that such subjective standards have been met.

The Administrative Agent shall have received a “Closing Certificate” certificate of a Responsible Officer of the Borrower, dated as of even date with this Agreementthe Closing Date, in which such officer certifies to the confirming satisfaction of each of the conditions set out forth in Section 4.1 Subsection 6.1(i) and Section 4.2Subsection 6.1(o).

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, the Borrower dated as of even date with this Agreement, the Closing Date in which such officer Responsible Officer certifies to the satisfaction of each of the conditions set out in Section 4.1 and Section 4.2.that:

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of certificate signed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each dated as of the Closing Date, stating that the conditions set out specified in Section 4.1 Sections 4.01(c), 4.01(d) and Section 4.24.01(n) have been satisfied.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” certificate of a Responsible Officer of the Borrower, dated as of even date with this Agreementthe Closing Date, in which such officer certifies to the confirming satisfaction of each of the conditions set out forth in Section 4.1 6.1(i) and Section 4.26.1(o).

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in subsections Section 4.1 and Section 4.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of Borrowerthe Borrower as to such matters as reasonably requested, of even date with this Agreement, including certifying that the conditions specified in which such officer certifies to the satisfaction of each Sections 4.02(a) and (b) have been satisfied and a pro forma calculation of the conditions set out in Section 4.1 and Section 4.2financial covenants as of June 30, 2015.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of closing certificate executed by a Responsible Officer of Borrower, of even date with this Agreement, in which such officer Responsible Officer certifies to the satisfaction of each of the conditions set out in Section 4.1 4.1(d), (l), (m), (n), (o) (without regard to Administrative Agent’s satisfaction) and Section 4.2.

Closing Certificate. Administrative Agent shall have received a “Closing Certificate” of a an Responsible Officer of Borrower, of even date with this Agreement, in which such officer certifies to the satisfaction of each of the conditions set out in subsections of Section 4.1 and Section 4.2.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate from a Responsible Officer of Borrowerthe Borrower dated as of the Second Amendment Effective Date, of even date with this Agreement, in which such officer certifies to the satisfaction of each of certifying that the conditions set out forth in Section 4.1 4(b) and Section 4.2(c) hereof have been satisfied.

Closing Certificate. The Administrative Agent shall have received a “Closing Certificate” of certificate executed by a Responsible Officer of the Borrower, of even date with this Agreement, dated the Effective Date and reasonably satisfactory in which such officer certifies form and substance to the Administrative Agent, certifying the satisfaction of each of the conditions set out forth in Section 4.1 and Section 4.2.IV.C.
