Common use of Client’s Processing of Personal Data Clause in Contracts

Client’s Processing of Personal Data. The Client as the Controller carries the primary obligation to comply with the GDPR, the Data Protection laws and to protect Personal Data. Client shall, in its use of the Services Process Personal Data in accordance with the requirements of the GDPR and Data Protection laws (as applicable). The Client identifies the applicable legal bases for the processing of Personal Data provided to Shiji. Without limitation, Client shall have any and all required legal bases in order to collect, Process and transfer to Processor the Personal Data and to authorize the Processing by Processor of the Personal Data which is authorized in this DPA. In particular, this includes the identification of the legal basis for the Transfer to Third Countries – Chapter V of the GDPR and Processing of Sensitive Data to the extent applicable. Client specifically acknowledges that its use of the Services will not violate the rights of any Data Subject that has opted-out from sales or other disclosures of Personal Data, to the extent applicable under the CCPA.
