Claims under Insurance Policies. Subject to Section 4.1(e) herein, the Servicer shall file and process claims under any Insurance Policy covering a Receivable if the failure to so file and process would impair the protection or benefit to be afforded by such insurance policies.

After the Closing Date, Seller shall cooperate with Buyer, at Buyer’s sole cost and expense, to pursue any claims made after the Closing Date under occurrence-based insurance policies based upon events occurring prior to the Closing Date. The Parties agree that any amounts recovered under such insurance policies shall be deemed Purchased Assets hereunder and be the sole and exclusive property of Buyer. Seller agrees not to limit, modify or otherwise compromise Buyer’s ability to make claims under any such insurance policies.
