If changes are made to the AUP, Galaxy IT will publish a revised version of the AUP at xxx.Xxxxxxxx.xxx/Xxxxx-xx-Xxxxxxx and email the Customer the revision. CHANGES TO THE ACCEPTABLE USE POLICY. We may change our Acceptable Use Policy, provided that any changes are reasonable and consistent with applicable law and industry norms. Any such changes made during the term of your Agreement will become effective to your account upon the first to occur of: (i) renewal, (ii) your execution of a new/additional Order for your account that incorporates the revised AUP or General Terms, or (iii) thirty (30) days following our notice to you describing the change. If the change materially and adversely affects you, you may terminate the Agreement by giving us written notice of termination on such grounds no later than thirty (30) days following the date the change became effective for your account, and we will not enforce the change with respect to that account for thirty (30) days following the date of your notice. If you terminate your Service because the change adversely affects you, we may decide not to enforce that change with respect to your account and keep your Agreement in place for the remainder of the term.
CHANGES TO THE ACCEPTABLE USE POLICY. PPM may change the Acceptable Use Policy to (i) make modifications to or add restrictions on Customer use of the Services provided that any new restrictions are reasonable and consistent with the hosting industry norms, or (ii) comply with any law applicable to the AUP. Notwithstanding, Customer and PPM shall amend and add any changed AUP to this Agreement for them to be effective to Customer. If a change to the AUP materially and adversely affects Customer, Customer may terminate the Agreement by giving the applicable Hexagon Group Company from which the Service was purchased written notice of termination on such grounds no later than thirty (30) days following the date the change became effective as to Customer. PPM will not charge Customer an early termination fee for a termination on such grounds. Suspension Of The Services Customer agrees that PPM or any applicable Hexagon Group Companies may suspend the Services without liability if: PPM reasonably believes that the Services are being used by Customer in material violation of the Agreement by Customer, by any Internal User, by any External User to whom Customer has given access to the Services, or by any Internal User or External User who gains access to Customer’s data or the Services as a result of Customer’s failure to use reasonable security precautions, and in each case even if their use of the data or Services was not authorised by Customer; Customer doesn’t reasonably cooperate with PPM’s and/or the applicable Hexagon Group Company’s reasonable investigation of any suspected material violation by Customer of the Agreement; the suspension of Services is necessary to protect the Services’ continuity to other customers of the Service (e.g. in case of suspected fraud, abuse, denial-of-service attacks, misuse of the network, hacking or malicious viruses); and/or the suspension of Services is required by law. PPM will give Customer advance notice of a suspension under this paragraph of at least twelve (12) Business Hours unless PPM reasonably determines that a suspension on shorter or contemporaneous notice is necessary to protect PPM or its other customers from imminent and significant operational or security risk. Termination and Survivability Customer may terminate the Agreement for breach if PPM materially fails to meet any obligation stated in the Agreement and fails to remedy such failure within thirty (30) days of Customer written notice describing the failure.
