Changes in Nature of Business. The Borrower will not, and will not permit any Subsidiary to, engage to any material extent in any business other than those businesses conducted by the Borrower and its Subsidiaries on the date hereof or any business reasonably related, ancillary, complimentary or incidental thereto, necessary or appropriate for, or representing a reasonable expansion thereof.

The Borrower will shall not, and will shall not cause or permit any Subsidiary to, engage to any material extent in any business other than those businesses of the type conducted by the Borrower and its Subsidiaries on the date hereof or any business of execution of this Agreement and businesses reasonably related, ancillary, complimentary or incidental thereto, necessary or appropriate for, or representing a reasonable expansion thereofrelated thereto (as determined by the Borrower’s board of directors).

The Borrower will not, and will not permit any Subsidiary to, engage to any material extent in any business other than those businesses conducted by the Borrower and its Subsidiaries on the date hereof or any business reasonably relatedcomplementary, ancillary, complimentary reasonably related or incidental thereto, necessary or appropriate for, or representing a reasonable expansion thereof.
