Common use of Changes in Circumstances Clause in Contracts

Changes in Circumstances. Such Grantor has not (a) within the period of four (4) months prior to the date hereof, changed its “location” (within the meaning of Section 9-307 of the NYUCC), (b) except as specified in Annex 1, heretofore changed its name, or (c) except as specified in Annex 2, heretofore become a “new debtor” (within the meaning of Section 9-102(a)(56) of the NYUCC) with respect to a currently effective security agreement previously entered into by any other Person.

Such Grantor has not (ai) within the period of four (4) months prior to the date hereofhereof (or on the date that such Grantor becomes a party hereto), changed its “location” location (within the meaning of as defined in Section 9-307 of the NYUCC), (bii) except as specified in Annex 1, heretofore changed its name, or (ciii) except as specified in Annex 2, heretofore become a “new debtor” (within the meaning of as defined in Section 9-102(a)(56) of the NYUCC) with respect to a currently effective security agreement previously entered into by any other Person.
