Common use of Change of Control Payments Clause in Contracts

Change of Control Payments. Neither the execution and delivery of this Agreement or any of each Company’s Closing Documents nor the consummation of the Transactions will result in any payment (including, without limitation, severance, unemployment compensation, golden parachute, bonus or otherwise) becoming due to any officer, director, independent contractor, consultant, agent or employee of either Company.

Change of Control Payments. Neither the The execution and delivery of this Agreement or any of each Company’s Closing Documents nor the consummation of the Transactions will not (a) result in any payment (including, without limitation, severance, unemployment compensation, golden parachute, bonus or otherwise) becoming due to any officer, director, independent contractor, consultant, agent director or employee of either Companyany of the Companies from any of the Companies, (b) materially increase any benefits otherwise payable under any Scheduled Plan or (c) result in the acceleration of the time of payment or vesting of any such benefits.
