Change Notice. 8.1.5.1 For any change which does not affect the Scope of Work performed under this Subaward, the Subaward Term or Subaward Sum, and does not otherwise materially change any other term or condition under this Subaward, County reserves the right to initiate such change(s) through a Change Notice Program memorandum or an administrative directive which shall all have the same effect. Such Change Notice shall be a written document that is prepared by County at its sole discretion and is signed by County's Contract Manager or designee. A Change Notice will be used to communicate changes which do not warrant an amendment to this Subaward. Such Change Notice shall be provided to Subrecipient at least ten (10) days prior to its effective date and Subrecipient shall adhere to the requirements as specified therein. Subrecipient's failure to comply with the Change Notice(s) may result in County imposing remedies including suspension of payment(s), termination of Subaward or other remedies under this Subaward as determined by County at its sole discretion.
Change Notice. If you have a fixed term contract approaching the expiration date, or whenever we propose to change the terms of service in any type of contract, you will receive two separate written notifications that precede the effective date of the proposed changes. These notifications will explain your options going forward.
Change Notice. 6.1 TNGD shall be entitled to change, vary or modify the terms and conditions herein from time to time and shall be made by issuance of an updated version of this Agreement either on the portal available to the Merchant, posted on TNGD’s website, posted on the Merchant Dashboard, or by way of service of notice in accordance to the terms and conditions herein at least twenty-one (21) days before the said change, variation or modification comes into effect. The Merchant herein agrees and undertakes that any continued usage of the TNGD Mobile Payment Service shall constitute an agreement to such changes or modification.

For any change which is clerical or administrative in nature (for example: changes to Contractor or County contact information, or to correct or clarify any published statement, other clerical corrections, etc.) and does not materially affect the scope of Work, period of performance, amount of payments, or any other term or condition included under this Agreement, provided that the change does not increase the Maximum Contract Sum, a Change Notice shall be executed by both the County Project Director and Contractor Project Director, with the concurrence of County Counsel.

If any Party, or any Affiliate or Subsidiary of any Party, receives a 30-day letter, a final audit report, a statutory notice of deficiency, or similar written notice from any Taxing Authority relating to the amount of the Net Tax Benefit calculated for purposes of this Agreement, or relating to any other material tax matter that is relevant to the terms of this Agreement and the calculation of the Tax Benefit Payments that may be payable by the Corporation to the TRA Payment Recipients (a “Change Notice”), prompt written notification and a copy of the relevant Change Notice shall be delivered by the Party (or its Affiliate or Subsidiary) that received such Change Notice to each other Party.

In the event Agility requires any change to the contractual terms, including, without limitation, to any Fees, in this Agreement, Agility shall advise Customer of such changes by notice to Customer (the “Change Notice”). Customer may reject the terms of any Change Notice and terminate this Agreement in writing effective as of end of the then-current term provided Customer delivers notice of such termination to Agility at least thirty (30) days prior to the expiration of then then- current term. If the Customer accepts the terms of the Change Notice or does not respond to Agility within the applicable time period (which shall constitute deemed acceptance), then this Agreement shall continue subject to the revised terms of the Change Notice.
Change Notice. The DISTRICT may at any time, through a written Change Notice to this Agreement by the DISTRICT's Chief Business Officer, make changes within the scope of work or period of performance of this Agreement. CONSULTANT and DISTRICT's Chief Business Officer shall negotiate an equitable adjustment, if appropriate, in the terms of this Agreement to cover any such change. No payment for extras shall be made unless such are performed pursuant to a written Change Notice.

If Parent believes that the Company has incurred, realized, or otherwise experienced a Material Adverse Change in its financial condition, properties, assets, liabilities, Business (as defined herein), operations, or results of operations and Parent desires a Merger Consideration Adjustment (as defined below), then Parent must prior to Closing give Holdings and the Company written notice of Parent's claim that such a Material Adverse Change has occurred (the "Change Notice"), which Change Notice shall state with specificity the grounds on which Parent contends that such Material Adverse Change has occurred and Parent's proposal for a Merger Consideration Adjustment. Parent may only make one (1) request for a Merger Consideration Adjustment.
