Common use of Change in the Nature of Business Clause in Contracts

Change in the Nature of Business. The Company shall not, and shall not permit any Subsidiary to, engage in any business or activity if as a result the general nature of the business of the Company or any Subsidiary would be changed in any material respect from the general nature of the business engaged in by the Company or such Subsidiary on the date of this Agreement.

Change in the Nature of Business. As of the date hereof, the general nature of the business of the Company or such Subsidiary on and its Subsidiaries is primarily the date business of this Agreementthe acquisition, financing and ownership of Senior Housing Assets and other business activities incidental thereto.

Change in the Nature of Business. The Company shall not, and shall not permit any Restricted Subsidiary to, engage in any business or activity if as a result the general nature of the business of the Company or any Subsidiary and its Restricted Subsidiaries taken as a whole would be changed in any material respect from the general nature of the business engaged in by the Company or such Subsidiary and its Restricted Subsidiaries on the date of this AgreementEffective Date.

As of the Execution Date, the general nature of the business of the Company or such Subsidiary on and its Subsidiaries is primarily the date business of this Agreementthe acquisition, financing and ownership of Senior Housing Assets and other business activities incidental thereto.

The Company shall not, and nor shall not it permit any Subsidiary to, engage in any business or activity if as a result the general nature of the business of the Company or any Subsidiary would be changed in any material respect from the general nature of the business engaged in by the Company or such Subsidiary on it as of the date of this Agreementhereof.

The Company shall not, and nor shall not it permit any Subsidiary to, engage in any business or activity if if, as a result result, the general nature of the business of the Company or any Subsidiary would be changed in any material respect from the general nature of the business engaged in by it as of the Company or such Subsidiary on the date of this AgreementClosing Date.

Change in the Nature of Business. The Company shall not, and shall not permit any Subsidiary to, engage in any business or activity if as a result the general nature of the business of the Company or any Subsidiary would be changed in any material respect from the general nature of the business engaged in by the Company or such Subsidiary on the date of this Agreement; provided, however, that the foregoing shall neither apply to nor operate to prevent the Company from conducting in a formally inactive Subsidiary any business or activity of the type generally conducted as of the date hereof by the Company or any Subsidiary.

The Company shall not, and nor shall not it permit any Subsidiary to, engage in any business or activity (other than related, ancillary or complementary business or activities) if as a result the general nature of the business of the Company or any Subsidiary and its Subsidiaries, taken as a whole, would be changed in any material respect from the general nature of the business engaged in by the Company or such Subsidiary on and its Subsidiaries, taken as a whole, as of the date of this AgreementClosing Date.

Change in the Nature of Business. The Company shall not, and nor shall not it permit any Subsidiary to, engage in any business or activity if as a result the general nature of the business of the Company or any Subsidiary would be changed in any material respect from the general nature of the business engaged in by it as of the Company or such Subsidiary on the date of this AgreementClosing Date.

Without limiting the generality of the foregoing, the Company shall cause Venture Packaging, Inc. to remain inactive until such Subsidiary is dissolved.

The Company shall not, and shall not permit any Subsidiary of the Restricted Subsidiaries to, engage in any business or activity if as a result the general nature of the business of the Company or any Subsidiary and the Restricted Subsidiaries would be changed in any material respect from the general nature of the business engaged in by the Company or such Subsidiary and the Restricted Subsidiaries on the date of this Agreement.
