Change in Scope. For substantial modifications in authorized Project scope, and/or substantial modifications of drawings and/or specifications previously accepted by City, when requested by City and through no fault of Consulting Engineer/Architect, the Consulting Engineer/Architect shall be compensated for time and expense required to incorporate such modifications at Consulting Engineer/Architect's standard hourly rates per Exhibit B; provided, however, that any increase in contract price or contract time must be approved through a written change order. Consulting Engineer/Architect shall correct or revise any errors or deficiencies in its designs, drawings or specifications without additional compensation when due to Consulting Engineer/Architect's negligence or other actionable fault.

If the change in scope affects the amount payable under a work authorization, a revised work authorization budget shall be incorporated in the supplemental to a work authorization.

Change in Scope. XXXX may request in writing an expansion of the scope of the licenses granted under this Agreement to include new trademarks, service marks or other proprietary designations; new products or services; new retail formats or business models; and/or new jurisdictions. Sears may approve or reject such expansion request in its sole discretion. If Sears approves such expansion request, Sears reserves the right to charge a royalty for the expanded rights.

Change in Scope. In the event of a change in scope or Change of Law which results in the necessity for either an increase or decrease of ten percent (10%) or more in Operator’s cost of providing the Services hereunder, one Party may provide notice to the other Party in accordance with Section 10.9 and the Parties shall negotiate in good faith to adjust the Base Compensation to account for such change in Operator’s costs. If the Parties are unable to reach a negotiated agreement within thirty (30) days of the date of notice, then this Agreement may be terminated upon a six month notice by either Party.
