If 30 (thirty) days have passed since the date of such request and the Bank is of the opinion that the event will occur and the effects of such event cannot be mitigated to its satisfaction, or in any event if a Change-of-Control Event, Change-of-Law Event or Senior Management Change has actually occurred, the Bank may by notice to the Borrower, cancel the undisbursed portion of the Credit and/or demand prepayment of the Loan Outstanding, together with accrued interest and all other amounts accrued or outstanding under this Contract.

Change Events. (a) If a change event occurs, We may adjust any of the contract prices to reflect any increase in Our cost of supplying electricity to the You under this contract. We will notify the You of nature of the change event and the date from which the change event will apply.
Change Events. The Parties recognize and acknowledge that, over the Term, achievement of the Principle of First Nations Gaming Revenue Sharing may be adversely impacted by various acts or omissions of the Province (each a “Change Event”). Change Events include, for example, the following:‌
Change Events. A Change Event occurs if: (i) an Unforeseen Condition arises; (ii) Generator fails to timely comply with Section 1.3 (Generator ICF Site Obligations), including providing or assisting with acceptable Property Rights Documents and preparing and transferring the acceptable ICF Site by the ICF Site Transfer Date; (iii) Generator fails to timely pay any amount due per this QFIA or fails to provide or maintain necessary financial security; (iv) Generator makes, or plans to make, a material change in the Facility as described in Facility Design Modification before COD (Section 1.5.D) or Facility Change after COD (Section 1.6.C); (v) GPC determines the potential necessity of property rights additional to those described in Exhibit A; (vi) GPC determines the potential necessity of an additional or modified Upgrade Project not previously identified; (vii) Generator requests that an Upgrade Project be suspended, delayed, or accelerated; (viii) there is an agreed change in any Exhibit A milestone date or either Party desires to change any Exhibit A milestone date; (ix) Upgrade Project cost or schedule is or could be materially affected due to any reason, including change in Generator or Facility ownership, management, or control; (x) Generator or the Facility interferes with Upgrade Project activity or Electric System operation; (xi) Generator fails to timely provide Facility data as required by Southern Company Policy; (xii) a modification as addressed in Section 2.11 (Changes to Electric System) is planned; or (xiii) Generator or the Facility fails to comply with any material QFIA requirement. A Change Event also occurs if: (a) within 30 Calendar Days after the Execution Date, GPC has not collected payment for any Contingent Facilities project involving a facility that GPC would own; or (b) at any time before Upgrade Project completion, a Contingent Facilities project is suspended or terminated or has not reached commercial operation.
