Common use of Chairman of the Board of Directors Clause in Contracts

Chairman of the Board of Directors. The Board may from time to time (by a majority vote) elect a Chairman from the acting Directors, and decide the period of time he shall hold such an office, and he shall preside at the meetings of the Board of Directors. The Chairman shall preside at every meeting of the Board of Directors, but if there is no such Chairman, or if at any meeting he is not present within fifteen (15) minutes of the time fixed for the meeting, or if he is unwilling to take the chairmanship, the Directors present shall choose one of their number to be the chairman of such meeting. The Chairman shall not have a casting or deciding vote.
