Common use of Certified Resolutions Clause in Contracts

Certified Resolutions. The Borrower shall have furnished to the Bank a copy of resolutions of the Board of Directors of the Borrower authorizing the execution, delivery and performance of this Agreement, the borrowing hereunder, the Note and the Documents to which Borrower is party, which shall have been certified by the Secretary or Assistant Secretary of the Borrower as being complete, accurate and in effect.

Certified Resolutions. The Borrower shall have furnished to the Bank a copy of resolutions of the its Board of Directors of the Borrower authorizing (as appropriate) the execution, delivery and performance of this Agreement, the borrowing hereunder, the Note Revolving Credit Note, and the Documents to which Borrower is partyany other documents contemplated by this Agreement, which shall have been certified by the its Secretary or Assistant Secretary as of the Borrower Disbursement Date first occurring as being complete, accurate and in effect.

Certified Resolutions. The Borrower shall have furnished to the Bank a copy copies of resolutions of the its Board of Directors of the Borrower authorizing the execution, delivery and performance of this Agreement, the borrowing hereunder, the Note Notes and the other Documents to which Borrower it is party, which shall have been certified by the Secretary or Assistant Secretary officers of the Borrower as being complete, accurate and in effect.

The Each Borrower shall have furnished to the Bank a copy of resolutions of the Board of Directors of the relevant Borrower authorizing the execution, delivery and performance of this Agreement, the borrowing hereunder, the Note and the Documents to which each Borrower is a party, which shall have been certified by the Secretary or Assistant Secretary of the relevant Borrower as being complete, accurate and in effect.

Certified Resolutions. The Borrower shall have furnished to the Bank a copy of resolutions of the Board of Directors of the Borrower and the Guarantors authorizing the execution, delivery and performance of this Agreement, the borrowing hereunder, the Note and the Documents to which Borrower is and/or Guarantors are a party, which shall have been certified by the Secretary or Assistant Secretary of the Borrower or Guarantors, as the case may be, as being complete, accurate and in effect.

Certified Resolutions. The Borrower shall have furnished to the Bank Lender a copy of resolutions of the Board board of Directors of each of the companies making up the Borrower and the Guarantors authorizing the execution, delivery and performance of this Agreement, the borrowing hereunder, the Note Notes and the Documents to which Borrower is partyall other Loan Documents, which shall have been certified by the Secretary or Assistant Secretary of the Borrower relevant company as being complete, accurate and in effectof the date hereof.
