Common use of Certificates of the Company Clause in Contracts

Certificates of the Company. The Company shall furnish to the Trustee and the Collateral Agent, prior to each proposed release of Collateral pursuant to the Collateral Agreements, an Officers' Certificate stating that such release complies with the terms of this Indenture and any other documentation required by Section 314(d) of the TIA. The Trustee may, to the extent permitted by Sections 7.01 and 7.02 hereof, accept as conclusive evidence of compliance with the foregoing provisions the statements contained in such Officers' Certificate.

Certificates of the Company. (a) The Company shall will furnish to the Trustee and the Collateral AgentTrustee, prior to each proposed release of Collateral pursuant to the Collateral Agreementsan Asset Sale, an Officers' Certificate stating ’ Certificate, to the effect that such proposed release complies of Collateral is in compliance with the terms of this Indenture and any other documentation required by Section 314(d) of the TIANote Documents. The Trustee may, to the extent permitted by Sections 7.01 and 7.02 hereof, accept as conclusive evidence of compliance with the foregoing provisions provision the appropriate statements contained in such Officers' ’ Certificate.

The Trustee may, to the extent permitted by Sections 7.01 and 7.02 hereof, accept as conclusive evidence of compliance with the foregoing provisions the appropriate statements contained in such Officers' documents and such Officer’s Certificate.

Certificates of the Company. The Trustee may, to the extent permitted by Sections 7.01 and 7.02 hereof, accept as conclusive evidence of compliance with the foregoing provisions the appropriate statements contained in such Officers' Certificatedocuments and such Opinion of Counsel.
