The certificates of incorporation or other applicable governing documents of the Obligors, as provided for in the Plan or the Merger Agreement, shall be reasonably satisfactory to the Initial Lender, each Counter-Guarantor and the Board, and shall have been filed with and accepted by the Secretary of State or other appropriate Governmental Authority in the applicable jurisdictions and shall have become effective.
