Common use of Certain Taxes and Fees Clause in Contracts

Certain Taxes and Fees. All transfer, documentary, sales, use stamp, registration and other such Taxes, and any conveyance fees or recording charges incurred in connection with the transactions contemplated hereunder will be paid by the Shareholders when due. The Shareholders will, at their own expense, file all necessary returns and other documentation with respect to all such Taxes, fees and charges and, if required by applicable Laws, Buyer shall join in the execution of any such returns and other documentation.
