Common use of Certain Taxes and Fees Clause in Contracts

Certain Taxes and Fees. All transfer, documentary, sales, use, stamp, registration and other Taxes, and all conveyance fees, recording charges and other fees and charges (including penalties and interest), incurred in connection with the consummation of the transactions contemplated by this Agreement shall be borne and paid by the Purchaser when due. Purchaser and the Stockholder agree to file all necessary documents (including, but not limited to, Tax Returns) with respect to all such amounts in a timely manner. (d)
