Common use of Certain Proceedings Clause in Contracts

Certain Proceedings. There is no Action pending against, or to the Knowledge of such Acquiree Shareholder, threatened against or affecting, such Acquiree Shareholder by any Governmental Authority or other Person with respect to such Acquiree Shareholder that challenges, or may have the effect of preventing, delaying, making illegal, or otherwise interfering with, any of the transactions contemplated by this Agreement.

There is no Action pending against, or to the Knowledge of such Acquiree ShareholderPrincipal Shareholders, threatened against or affecting, such Acquiree Shareholder Principal Shareholders by any Governmental Authority or other Person with respect to such Acquiree Shareholder Principal Shareholders that challenges, or may have the effect of preventing, delaying, making illegal, or otherwise interfering with, any of the transactions contemplated by this Agreement.
