Certain Operational Matters. (a) Calculate contractual Fund expenses and make disbursements for the Funds, including trustee and vendor fees and compensation. Disbursements shall be subject to review and approval of an Authorized Person and shall be made only out of the assets of the applicable Fund.

Certain Operational Matters. 4.1 The Joint Venture shall maintain proper and complete books of account, files and records of its business and operations in accordance with law and as the Board of Directors of the Joint Venture or any party shall reasonably request. All books of account, files and records shall at all times be open to inspection and copying by any member of the Board of Directors or any authorized representative of a party.
