Cash Equalization Payment. If the Replacement Property Cost (hereafter defined) for an Exchange exceeds the Qualified Proceeds for such Exchange, then the applicable Exchanger shall provide Qualified Intermediary with sufficient available funds at least 1 business day prior to the date upon which the distribution is required. The “Replacement Property Cost” shall mean the sum of all Cash Payments paid by Qualified Intermediary to a Transferor in connection with the purchase of the Replacement Property for each Exchange, including related fees and costs.

Cash Equalization Payment. If the Net Agreed Value of ------------------------- Partnership Property distributed to a Partner in complete Redemption of its Partnership Interest is greater, on the applicable Redemption date, than such Partner's Capital Account (determined after adjusting the Carrying Values of all Partnership Properties and the Capital Accounts of all Partners pursuant to Section 3.1(c)) then such Partner shall make a Capital Contribution to the Partnership in cash equal to the difference. If the Net Agreed Value of Partnership Property distributed to a Partner in complete Redemption of its Partnership Interest is less, on the applicable Redemption Date, than such Partner's Capital Account (determined after adjusting the Carrying Values of all Partnership Properties and the Capital Accounts of all Partners pursuant to Section 3.1(c)), then the Partnership shall pay such difference in cash to the redeemed Partner upon the Redemption of its Partnership Interest.
Cash Equalization Payment. The Employee shall be entitled to a cash equalization payment equal to $250,000 (the “Cash Equalization Payment”) in lieu of forfeited benefits associated with the Employee’s previous employment. The Cash Equalization Payment will be paid to the Employee in two equal installments. The first installment shall be paid to the Employee on the first available payroll following his first month of employment and the second installment will be paid to the Employee on the first available payroll after 6 months of employment with the Company.

  • Excise Tax Equalization Payment Subject to the limitation below, in the event that Executive becomes entitled to any payment or benefit under this section 3 (such benefits together with any other payments or benefits payable under any other agreement with, or plan or policy of, Company are referred to in the aggregate as the “Total Payments”), if all or any part of the Total Payments will be subject to the tax (the “Excise Tax”) imposed by Code Section 4999 (or any similar tax that may hereafter be imposed), Company shall pay to Executive in cash an additional amount (the “Gross-Up Payment”) such that the net amount retained by Executive after deduction of any Excise Tax on the Total Payments and any federal, state and local income tax, penalties, interest and Excise Tax upon the Gross-Up Payment provided for by this section 3 (including FICA and FUTA), shall be equal to the Total Payments. Any such payment shall be made by Company to Executive as soon as practical following the Termination Date, but in no event beyond twenty (20) days from such date. Executive shall only be entitled to a Gross-Up Payment under this section 3 if Executive’s “parachute payments” (as such term is defined in Code Section 280G) exceed three hundred thirty percent (330%) (the “Threshold”) of Executive’s “base amount” (as determined under Code Section 280G(b)). In the event Executive’s parachute payments do not exceed the Threshold, the benefits provided to such Executive under this Agreement that are classified as parachute payments shall be reduced such that the value of the Total Payments that Executive is entitled to receive shall be one dollar ($1) less than the maximum amount which such Executive may receive without becoming subject to the tax imposed by Code Section 4999, or which Company may pay without loss of deduction under Code Section 280G(a). For purposes of determining whether any of the Total Payments will be subject to the Excise Tax, the amounts of such Excise Tax and the amount of any Gross Up Payment, the following shall apply:

  • Contribution Payment To the extent the indemnification provided for under any provision of this Agreement is determined (in the manner hereinabove provided) not to be permitted under applicable law, the Company, in lieu of indemnifying Indemnitee, shall, to the extent permitted by law, contribute to the amount of any and all Indemnifiable Liabilities incurred or paid by Indemnitee for which such indemnification is not permitted. The amount the Company contributes shall be in such proportion as is appropriate to reflect the relative fault of Indemnitee, on the one hand, and of the Company and any and all other parties (including officers and directors of the Company other than Indemnitee) who may be at fault (collectively, including the Company, the "Third Parties"), on the other hand.

  • Cash Payment The Employee shall make cash payments by wire transfer, certified or bank check or personal check, in each case payable to the order of the Company; the Company shall not be required to deliver certificates for Option Shares until the Company has confirmed the receipt of good and available funds in payment of the purchase price thereof.

  • Separation Payment An ASF Member shall be compensated at the final rate of pay for all unused, accumulated vacation, leave time upon separation from state service, or movement to a vacation ineligible position.   • Retention Payment 6.4.1 There are two situations in which an employee may be eligible to receive a retention payment. These are total facility closures and relocation of work units.

  • Retention Payments Executive shall be eligible to earn each Retention Payment listed below, by: (a) being employed on the date listed next to the Retention Payment; (b) not being in a PIP Period (“PIP Period” is defined in Paragraph 4(a) below) on the date listed next to the Retention Payment; and (c) if Executive has resigned or been given notice of termination without Cause (“Cause” is defined in Paragraph 4(b) below) but remains employed during a notice period, assisting in an Orderly Transition of Duties (“Orderly Transition of Duties” is defined in Paragraph 4(c) below).
