The Lender shall have received a certificate of the Chief Financial Officer of the Borrower in form and substance satisfactory to the Lender stating that as of the close of the second Banking Day prior to the First Disbursement Date, the aggregate amount of cash and Cash Equivalents of the Borrower and its subsidiaries on a consolidated basis does not exceed $10,000,000;
