Common use of Capital Available Clause in Contracts

Capital Available. Purchaser has sufficient capital to support the acquisition of the Business and to perform Purchaser’s other obligations hereunder and under any of the other documents executed in connection herewith and Purchaser’s ability to purchase the Purchased Assets and to assume the Assumed Liabilities and to perform Purchaser’s other obligations hereunder is not contingent on raising any equity capital, obtaining specific financing thereof, or obtaining the consent of any lender.

Capital Available. Purchaser has sufficient capital to ----------------- support the acquisition of the Business Purchased Assets and the assumption of the Assumed Liabilities and to perform Purchaser’s 's other obligations hereunder and under any of the other documents executed in connection herewith and Purchaser’s 's ability to purchase the Purchased Assets and to assume the Assumed Liabilities and to perform Purchaser’s 's other obligations hereunder is not contingent on raising any equity capital, obtaining specific financing thereof, or obtaining the consent of any lender.

Purchaser has sufficient capital to support the acquisition of the Business and to perform Purchaser’s other obligations hereunder and under any of the other documents executed in connection herewith and Purchaser’s ability to purchase acquire the Purchased Assets and Assets, to assume the Assumed Liabilities and to perform its other obligations under this Agreement and under any of the other instruments or documents executed in connection with this Agreement; it being understood by the Parties that Purchaser’s obligation to acquire the Purchased Assets, to assume the Assumed Liabilities and to perform its other obligations hereunder under this Agreement is not contingent conditioned on raising any equity capital, obtaining specific financing thereoffinancing, or obtaining the consent of any lenderlender or any other matter.

Capital Available. Purchaser or Enterprise has sufficient capital to support the acquisition of the Business and to perform Purchaser’s 's other obligations hereunder and under any of the other documents executed in connection herewith and herewith; provided, however that Purchaser’s ability 's or Enterprise's obligation to purchase the Purchased Assets and to assume the Assumed Liabilities and to perform Purchaser’s 's other obligations hereunder is not contingent conditioned on raising any equity capital, obtaining specific financing thereof, or obtaining the consent of any lenderlender or any other matter.
