Common use of Capital Adequacy Clause in Contracts

Capital Adequacy. If (1) the adoption, after the date hereof, of any applicable governmental law, rule or regulation regarding capital adequacy, (2) any change, after the date hereof, in the interpretation or administration of any such law, rule or regulation by any central bank or other governmental authority charged with the interpretation or administration thereof or (3) compliance by the Liquidity Provider or any corporation controlling the Liquidity Provider with any applicable guideline or request of general applicability, issued after the date hereof, by any central bank or other governmental authority (whether or not having the force of law) that constitutes a change of the nature described in clause (2), has the effect of requiring an increase in the amount of capital required to be maintained by the Liquidity Provider or any corporation controlling the Liquidity Provider, and such increase is based upon the Liquidity Provider's obligations hereunder and other similar obligations, the Borrower shall pay to the Liquidity Provider from time to time such additional amount or amounts as are necessary to compensate the Liquidity Provider for such portion of such increase as shall be reasonably allocable to the Liquidity Provider's obligations to the Borrower hereunder. The Liquidity Provider agrees to use reasonable efforts (consistent with applicable legal and regulatory restrictions) to change the jurisdiction of its Facility Office if making such change would avoid the need for, or reduce the amount of, any amount payable under this Section that may thereafter accrue and would not, in the reasonable judgment of the Liquidity Provider, be otherwise materially disadvantageous to the Liquidity Provider. The Liquidity Provider will notify the Borrower of any event occurring after the date of this Agreement that will entitle the Liquidity Provider to compensation pursuant to this Section 3.02 as promptly as practicable after it obtains knowledge thereof and determines to request such compensation, which notice shall describe in reasonable detail the calculation of the amounts owed under this Section. Determinations by the Liquidity Provider for purposes of this Section 3.02 of the effect of any increase in the amount of capital required to be maintained by the Liquidity Provider and of the amount allocable to the Liquidity Provider's obligations to the Borrower hereunder shall be prima facie evidence of the amounts owed under this Section. Notwithstanding the preceding two paragraphs, the Liquidity Provider and the Subordination Agent agree that any permitted assignee or participant of the initial Liquidity Provider which is not a bank shall not be entitled to the benefits of the preceding two paragraphs (but without limiting the provisions of Section 7.08 hereof).

Notwithstanding the preceding two paragraphs, the Liquidity Provider and the Subordination Agent agree that the initial Liquidity Provider (i.e. AIG Matched Funding Corp.) shall not be entitled to the benefits of the preceding two paragraphs, PROVIDED, however, any permitted assignee or participant of the initial Liquidity Provider which is not a bank organized under the laws of the United States or any State thereof shall not be entitled to the benefits of the preceding two paragraphs (but without limiting subject, in the provisions case of any permitted participant, to the limitation set forth in Section 7.08 hereof).

Determinations by the Liquidity Provider for purposes of this Section 3.02 3.2 of the effect of any increase in the amount of capital required to be maintained by the Liquidity Provider bank and of the amount allocable to the Liquidity Provider's obligations to the Borrower hereunder shall be prima facie evidence of the amounts owed under this Section. Capital Adequacy. If (1) the adoption, after Liquidity Provider shall determine that the date hereof, adoption of any applicable governmental law, rule or regulation regarding capital adequacy, (2) or any changechange therein, after the date hereof, or any change in the interpretation or administration of any such law, rule or regulation thereof by any governmental authority, central bank or other governmental authority comparable agency charged with the interpretation or administration thereof thereof, or (3) compliance by the Liquidity Provider (or any corporation controlling the Liquidity Provider its head office) with any applicable guideline request or request of general applicability, issued after the date hereof, by any central bank or other governmental authority directive regarding capital adequacy (whether or not having the force of law) that constitutes a change of the nature described in clause (2)any such authority, central bank or comparable agency, has the effect of requiring reducing the rate of return on the Liquidity Provider's capital as a consequence of issuing or maintaining its commitment hereunder or its funding or maintaining Advances to a level below that which the Liquidity Provider could have achieved but for such adoption, change or compliance (taking into consideration the Liquidity Provider's policies with respect to capital adequacy) by an increase in the amount of capital required to be maintained deemed by the Liquidity Provider or any corporation controlling to be material, then, upon demand by the Liquidity Provider, and such increase is based upon the Liquidity Provider's obligations hereunder and other similar obligations, the Borrower shall pay to the Liquidity Provider Provider, from time to time such as specified by the Liquidity Provider, additional amount or amounts as are necessary which shall be sufficient to compensate the Liquidity Provider for such portion reduction in respect of issuing or maintaining its commitment hereunder or its funding or maintaining Advances. A certificate as to such increase as shall be reasonably allocable to additional amount describing the event which has the effect of reducing the rate of return on the Liquidity Provider's obligations capital, prepared in reasonable detail and submitted by the Liquidity Provider to the Borrower hereunderBorrower, shall be conclusive, absent manifest error, as to the amount thereof. The Liquidity Provider agrees to use reasonable efforts (consistent with applicable its internal policy and legal and regulatory restrictions) to change the jurisdiction of its Facility Lending Office if making such change would avoid the need for, or reduce the amount of, any amount payable under this Section 3.2 that may thereafter accrue and would not, in the reasonable judgment of the Liquidity Provider, be otherwise materially disadvantageous in any material respect to the Liquidity Provider. If (1) the adoption, after Primary Liquidity Provider shall determine that the date hereof, adoption of any applicable governmental law, rule or regulation regarding capital adequacy, (2) or any changechange therein, after the date hereof, or any change in the interpretation or administration of any such law, rule or regulation thereof by any governmental authority, central bank or other governmental authority comparable agency charged with the interpretation or administration thereof thereof, or (3) compliance by the Primary Liquidity Provider (or any corporation controlling the Liquidity Provider its head office) with any applicable guideline request or request of general applicability, issued after the date hereof, by any central bank or other governmental authority directive regarding capital adequacy (whether or not having the force of law) that constitutes a change of any such authority, central bank or comparable agency, in each case after the nature described in clause (2)date hereof, has the effect of requiring an increase in reducing the amount rate of capital required to be maintained by return on the Liquidity Provider or any corporation controlling the Liquidity Provider, and such increase is based upon the Primary Liquidity Provider's obligations capital as a consequence of issuing or maintaining its commitment hereunder and other similar obligationsor its funding or maintaining Advances to a level below that which the Primary Liquidity Provider could have achieved but for such adoption, change or compliance (taking into consideration the Primary Liquidity Provider's policies with respect to capital adequacy) by an amount deemed by the Primary Liquidity Provider to be material, then, upon demand by the Primary Liquidity Provider, the Borrower shall pay to the Primary Liquidity Provider Provider, from time to time such as specified by the Primary Liquidity Provider, additional amount or amounts as are necessary which shall be sufficient to compensate the Primary Liquidity Provider for such portion reduction in respect of issuing or maintaining its commitment hereunder or its funding or maintaining Advances. A certificate as to any such increase as shall be reasonably allocable to additional amount describing the event which has the effect of reducing the rate of return on the Primary Liquidity Provider's obligations capital, prepared in reasonable detail and submitted by the Primary Liquidity Provider to the Borrower hereunderBorrower, shall be conclusive evidence of the amount owed under this Section, absent manifest error. The Primary Liquidity Provider agrees to use reasonable efforts (consistent with applicable its internal policy and legal and regulatory restrictions) to change the jurisdiction of its Facility Office if making such change would avoid the need for, or reduce the amount of, any amount payable under this Section 3.02 that may thereafter accrue and would not, in the reasonable judgment of the Primary Liquidity Provider, be otherwise materially disadvantageous to the Primary Liquidity Provider. The Liquidity Provider will notify the Borrower of any event occurring after the date of this Agreement that will entitle the Liquidity Provider to compensation pursuant to this Section 3.02 as promptly as practicable after it obtains knowledge thereof and determines to request such compensation, which notice shall describe in reasonable detail the calculation of the amounts owed under this Section. Determinations by the Liquidity Provider for purposes of this Section 3.02 of the effect of any increase in the amount of capital required to be maintained by the Liquidity Provider and of the amount allocable to the Liquidity Provider's obligations to the Borrower hereunder shall be prima facie evidence of the amounts owed under this Section. For the avoidance of doubt, the proposals of The Basel Committee on Banking Supervision relating to capital adequacy rules commonly known as Basel II will not be treated for purposes of determining whether the Liquidity Provider (or any corporation or bank controlling the Liquidity Provider) is entitled to compensation under this Section 3.02 as having been adopted or having come into effect before the date hereof, which rules shall be determined to be adopted only when the national banking authorities, or other relevant administrative or legislative bodies having primary jurisdiction or regulatory authority over the Liquidity Provider (or any corporation or bank controlling the Liquidity Provider), adopt Basel II in the primary jurisdiction of the Liquidity Provider. The Liquidity Provider agrees to use reasonable efforts (consistent with applicable legal and regulatory restrictions) to change the jurisdiction of its Facility Office if making such change would avoid the need for, or reduce the amount of, any amount payable under this Section that may thereafter accrue and would not, in the reasonable judgment of the Liquidity Provider, be otherwise materially disadvantageous to the Liquidity Provider. The Liquidity Provider will notify the Borrower of any event occurring after the date of this Agreement that will entitle the Liquidity Provider to compensation pursuant to this Section 3.02 as promptly as practicable after it obtains knowledge thereof and determines to request such compensation, which notice shall describe in reasonable detail the calculation of the amounts owed under this Section. Capital Adequacy. Capital Adequacy. Notwithstanding the preceding two paragraphs, the Liquidity Provider and the Subordination Agent agree that the initial Liquidity Provider (i.e., Morgan Stanley Capital Services Inc.) shall not be entitled to the xxxxxxtx xx xxe preceding two paragraphs; provided, however, any permitted assignee or participant of the initial Liquidity Provider which is not a bank organized under the laws of the United States or any State thereof shall not be entitled to the benefits of the preceding two paragraphs (but without limiting subject, in the provisions case of any permitted participant, to the limitations set forth in Section 7.08 hereof).

Capital Adequacy. If (1) the adoption, after the date hereof, of any applicable governmental law, rule or regulation regarding capital adequacy, (2) any change, after the date hereof, in the interpretation or administration of any such law, rule or regulation by any central bank or other governmental authority charged with the interpretation or administration thereof or (3) compliance by the Liquidity Provider or any corporation or bank controlling the Liquidity Provider with any applicable guideline or request of general applicability, issued after the date hereof, by any central bank or other governmental authority (whether or not having the force of law) that constitutes a change of the nature described in clause (2), has the effect of (x) requiring an increase in the amount of capital required to be maintained by the Liquidity Provider or any corporation or bank controlling the Liquidity Provider, or (y) reducing the rate of return on assets or capital of the Liquidity Provider (or such corporation or bank) and such increase is based upon adoption, change or compliance, as the case may be, relates to a category of claims or assets that includes the Liquidity Provider's ’s obligations hereunder (including funded obligations) and other similar obligations, the Borrower shall shall, subject to the provisions of the next paragraph, pay to the Liquidity Provider from time to time such additional amount or amounts as are necessary to compensate the Liquidity Provider for such portion of such increase or reduction as shall be reasonably allocable to the Liquidity Provider's ’s obligations to the Borrower hereunder. For the avoidance of doubt, the proposals of The Basel Committee on Banking Supervision relating to capital adequacy rules commonly known as Basel II will not be treated for purposes of determining whether the Liquidity Provider (or any corporation or bank controlling the Liquidity Provider) is entitled to compensation under this Section 3.02 as having been adopted or having come into effect before the date hereof, which rules shall be determined to be adopted only when the national banking authorities, or other relevant administrative or legislative bodies having primary jurisdiction or regulatory authority over the Liquidity Provider (or any corporation or bank controlling the Liquidity Provider), adopt Basel II in the primary jurisdiction of the Liquidity Provider. The Liquidity Provider agrees to use reasonable efforts (consistent with applicable legal and regulatory restrictions) to change the jurisdiction of its Facility Office if making such change would avoid the need for, or reduce the amount of, any amount payable BACK under this Section that may thereafter accrue and would not, in the reasonable judgment of the Liquidity Provider, be otherwise materially disadvantageous to the Liquidity Provider. The Liquidity Provider will notify the Borrower of any event occurring after the date of this Agreement that will entitle the Liquidity Provider to compensation pursuant to this Section 3.02 as promptly as practicable after it obtains knowledge thereof and determines to request such compensation, which notice shall describe in reasonable detail the calculation of the amounts owed under this Section. Determinations by the Liquidity Provider for purposes of this Section 3.02 of the effect of any increase in the amount of capital required to be maintained by the Liquidity Provider and of the amount allocable to the Liquidity Provider's ’s obligations to the Borrower hereunder shall be prima facie conclusive evidence of the amounts owed under this Section, absent manifest error. Notwithstanding the preceding two paragraphs, the Liquidity Provider and the Subordination Agent agree that any permitted assignee or participant of the initial Liquidity Provider which is not a bank shall not be entitled to the benefits of the preceding two paragraphs (but without limiting the provisions of Section 7.08 hereof).
