Common use of Capacity and Performance Clause in Contracts

Capacity and Performance. (a) During the Term, the Executive shall be employed by Company on a full-time basis as its Chief Financial Officer. Executive shall perform such duties and responsibilities as directed by the Board of Directors of the Company (the “Board”), consistent with Executive’s position on behalf of Company.

During the Term, Executive shall be employed by the Company on a full-time basis as its Chief Financial Officer. Executive and shall perform such duties and responsibilities incident to the position of Chief Operating Officer, on behalf of the Company and its Affiliates, and as directed may reasonably be designated from time to time by the Board of Directors of the Company (the “Board”), consistent with Executive’s position on behalf of Companyand CEO.

In such capacity, the Executive shall perform report to the Chief Executive Officer of the Company (the “Chief Executive Officer”), and the Executive shall have such duties as are consistent with the Executive’s position and responsibilities as directed may from time to time be assigned to the Executive by the Chief Executive Officer or the Board of Directors of the Company (the “Board”), consistent with Executive’s position on behalf of Company.

Executive shall faithfully adhere to, execute, and fulfill all lawful policies established by Company. The principal place of Executive's employment shall be the Company’s principal executive office which is located in Andover, Massachusetts; provided that, Executive may be required to travel on Company business during the Term.

Capacity and Performance. (a) During the Term, the Executive shall be employed by Company on a full-time basis as its Vice-Chairman, President and Chief Financial Executive Officer. Executive shall perform such duties and responsibilities as directed by the Board of Directors of the Company (the “Board”), consistent with Executive’s position on behalf of Company.
