Common use of Cancellation or Postponement Clause in Contracts

Cancellation or Postponement. If the Show is cancelled (or postponed) five or more business days prior to commencement of installation because of reasons beyond Xxxxxxxx’x control, the Exhibitor will be refunded 100% of the charges for Standard Furnishings (Tables & Drapery, Chairs & Accessories), Standard Carpet and Padding ordered from Xxxxxxxx. If the Show is cancelled (or postponed) less than five business days prior to the commencement of installation, the Exhibitor remains responsible for all charges. If the Show is cancelled (or postponed) because of reasons beyond Xxxxxxxx’x control, the Exhibitor remains responsible for all other charges for services and equipment not listed above ordered from Xxxxxxxx up to and including the date of cancellation/postponement. Cancellation fees, including fees to cover any costs incurred by Xxxxxxxx, will be due immediately upon any such cancellation or postponement by Exhibitor. EXHIBITOR EXPRESSLY AGREES THAT IT HAS READ, AND AGREES TO, THIS CANCELLATION POLICY, AND THAT THE CANCELLATION CHARGES DESCRIBED IN THIS PARAGRAPH ARE REASONABLE AND APPROPRIATE UNDER THE CIRCUMSTANCES STATED, AND THAT SUCH CANCELLATION CHARGES ARE NOT A PENALTY. EXHIBITOR FURTHER ACKNOWLEDGES AND AGREES THAT THIS POLICY SHALL APPLY IN THE EVENT OF ANY CANCELLATION/POSTPONEMENT BY EXHIBITOR IRRESPECTIVE OF THE REASON FOR SUCH ORDER CANCELLATION/POSTPONEMENT AND SHALL ALSO APPLY IN THE EVENT OF THE CANCELLATION OR POSTPONMENT OF THE SHOW FOR ANY REASON BEYOND XXXXXXXX’X CONTROL.

If In the Show is cancelled (or postponed) five or more business event an exhibitor desires to cancel his reservation of booth space, a written notice of request for cancellation must be emailed to Xxxxxx Classic Africa, no later than 30 days prior to commencement of installation because of reasons beyond Xxxxxxxx’x control, before the Exhibitor will be refunded 100% of the charges for Standard Furnishings (Tables & Drapery, Chairs & Accessories), Standard Carpet and Padding ordered from Xxxxxxxxevent. If the Show request is cancelled (or postponed) less than five business days prior to the commencement of installationapproved and accepted by Management, the amount paid shall be rolled over to cover the cost of exhibit space the following year. The credit cannot be carried forward any further than the following year or next event. The Exhibitor remains responsible must provide Management the approved paperwork for all chargesthe roll over option. Exhibitor agrees that whenever an attorney is used to obtain payment due hereunder an attorney’s fee shall be payable by the Exhibitor as and for reasonable attorney fees. In the event the Exposition is cancelled or postponed, or Management is unable to perform for any reason whatsoever including performance under this agreement, the sole and exclusive remedy of Exhibitor as against Management with respect to any damages sustained by Exhibitor as a result of the non-occurrence or postponement of the Exposition, including incremental and consequential damages, shall be a refund of monies paid on account of the exhibition space, less Exhibitor’s pro rata share of expenses relating to the Exposition, as determined by Management. Management reserves the right to cancel or postpone the Exposition for any of the following reasons: damage or destruction of the facility; natural disasters; national or unforeseen emergency; public enemy; war or insurrections; strikes or the possibility of strikes; the authority of the law; for any cause beyond their control or where Management, in its sole discretion, determines that the Exposition cannot be held as planned; or in a manner which will serve the best interests of Management, the attendees and/or exhibitors; or where the success of the event will be due immediately upon any such cancellation or postponement by Exhibitor.
