Cancellation of Warrant Certificate. (i) At such time as all beneficial interests in Warrant Certificates and Direct Registration Warrants have been exchanged for Common Stock in accordance herewith, redeemed, repurchased or cancelled, all Warrant Certificates shall be returned to, or cancelled and retained pursuant to applicable law by, the Warrant Agent, upon written instructions from the Company reasonably satisfactory to the Warrant Agent.
Cancellation of Warrant Certificate. At such time as all beneficial interests in Warrant Certificates have either been exchanged for Book-Entry Warrants, or been redeemed, repurchased,cancelled or exercised, all Warrant Certificates shall be returned to, or retained and cancelled by, the Warrant Agent, upon written instructions from the Company satisfactory to the Warrant Agent, subject to applicable law.
Cancellation of Warrant Certificate. All Warrant Certificates surrendered for exchange, substitution, transfer or exercise in whole or in part shall be canceled by the Warrant Agent. If the Company shall purchase or otherwise acquire Warrants, the Warrant Certificates representing such Warrants shall thereupon be delivered to the Warrant Agent and be canceled by it. Such canceled Warrant Certificates shall then be disposed of by such Warrant Agent in a manner satisfactory to the Company.
Cancellation of Warrant Certificate. Any Warrant ----------------------------------- Certificate surrendered upon the exercise of Warrants or for exchange or transfer, or purchased or otherwise acquired by the Company, shall be canceled and shall not be reissued by the Company; and, except as provided in Section 2.5 hereof in case of the exercise of less than all of the Warrants evidenced by a Warrant Certificate or in Section 1.2 in an exchange or transfer, no Warrant Certificate shall be issued hereunder in lieu of such canceled Warrant Certificate. Any Warrant Certificate so canceled shall be destroyed by the Company.
Cancellation of Warrant Certificate. The parties hereto acknowledge and agree that the Xxxxxxxx Certificate shall be canceled and become null and void simultaneously with the execution of this Agreement. All benefits owed to any party and all duties imposed upon any party under the Xxxxxxxx Certificate shall be canceled. The parties believe that the Xxxxxxxx Certificate has not been delivered, however, if such Xxxxxxxx Certificate has been delivered, then within ten (10) days of the effective date of this Agreement, Wyle shall return the original Xxxxxxxx Certificate to Xxxxxxxx with the word "CANCELED" printed on each page and initialed by the person(s) executing this Agreement on behalf of Wyle.
Cancellation of Warrant Certificate. At such time as all Warrants have either been duly exercised in accordance with the terms hereof or cancelled in accordance with this Agreement, the Company shall cancel or direct the cancellation of all Warrant Certificates.
Cancellation of Warrant Certificate. In the event that the ----------------------------------- Company shall purchase or otherwise acquire any Warrant Certificate or Certificates after the issuance thereof, such Warrant Certificate or Certificates shall thereupon be delivered to the Warrant Agent and be canceled by it and retired. The Warrant Agent shall also cancel any Warrant Certificate delivered to it for exercise, in whole or in part, or delivered to it for transfer, split up, combination or exchange. Warrant Certificates so canceled shall be delivered by the Warrant Agent to the Company from time to time, or disposed of in accordance with the instructions of the Company.
Cancellation of Warrant Certificate. If the Company shall purchase or acquire the Warrants, the Warrant Certificates evidencing the same shall thereupon be canceled and retired.
Cancellation of Warrant Certificate. Upon the receipt of the executed endorsed form of transfer by the Holder and the executed Joinder Agreement by the Transferee, the Issuer shall cause the original Warrant Certificate held by the Holder surrendered for the purpose of transfer pursuant to this Section 5. The original Warrant Certificate delivered to the Designated Office shall be cancelled promptly by the Issuer, and no Warrant Certificate shall be issued to the Transferee therefor except as expressly permitted by Section 5.5.
Cancellation of Warrant Certificate. All benefits owed to any party and all duties imposed upon any party under the Wyle Certificate shall be canceled. The parties believe that the Wyle Certificate has not been delivered, however, if such Wyle Certificate has been delivered, then within ten (10) days of the effective date of this Agreement, Xxxxxxxx shall return the original Wyle Certificate to Wyle with the word "CANCELED" printed on each page and initialed by the person(s) executing this Agreement on behalf of Xxxxxxxx.
