Cancellation of Event. Subject to the termination provisions contained herein, if Emerald cancels the Event in advance of the start of the Event for reasons other than force majeure, Emerald shall refund to Exhibitor its booth space rental payment previously paid (less Exhibitor’s pro rata share of all costs and expenses incurred and committed by Emerald in the case of cancellation due to circumstances outside of Emerald’s control) in full satisfaction of all liabilities of Emerald and Facility to Exhibitor. Notwithstanding the foregoing, Emerald, using its sole discretion, may cancel the Event in advance of the start of, or during, the Event for the safety and security of the Event participants without an obligation to refund any payments made by Exhibitor. If such cancellation is the result of force majeure for which Emerald recovers insurance proceeds, Emerald will offer, in any manner in Emerald’s sole discretion, all such proceeds for the benefit of Event exhibitors. Under all circumstances, Emerald reserves the right to postpone, rename or relocate the Event or change the Event dates. If Emerald changes the name of the Event, relocates the Event to another facility within the same geographic area, or changes the Event dates to dates that are not more than 30 days earlier or 30 days later, no refund will be due to Exhibitor, and Emerald shall assign to Exhibitor, in lieu of the original space, other space as Emerald reasonably deems appropriate, and Exhibitor agrees to accept such space under the terms of this Agreement.

XXXX reserves the right to cancel Event due to circumstances beyond NYLA’s control or not reasonably anticipated by XXXX, including but not limited, to acts of God, acts of war, governmental emergency, imposition of martial law, labor strike or unrest, or inability of Facility to host Event.

If Emerald changes the name of the Event, relocates the Event to another facility within the same geographic area, or changes the Event dates to dates that are not more than 30 days earlier or 30 days later than the originally scheduled dates, no refund will be due to Exhibitor, and Emerald shall assign to Exhibitor, in lieu of the original space, other space as Emerald reasonably deems appropriate, and Exhibitor agrees to accept such space under the terms of this Agreement. If Emerald elects to cancel the Event other than for a reason previously described in this paragraph, Emerald shall refund to each Exhibitor its entire exhibit space rental payment previously paid, in full satisfaction of all liabilities of Emerald to Exhibitor. Exhibitor agrees that, except as expressly provided in this paragraph, it shall and hereby does waive any and all claims for damages or compensation resulting from or relating to the cancellation, renaming, relocation or rescheduling of the Event.
Cancellation of Event. Event may be cancelled by the Carbondale Town Manager, or his designee, if a recommendation is made by the Parks & Recreation Director, Public Works Director, or Chief of Police that the terms of this Agreement and Event Management Plan are not substantially fulfilled in a timely manner, or in the event of an unforeseen catastrophic event or act of God. In the event of such cancellation, the Town shall remit to Event Organizer all rental fees and damage deposits minus any expenditures incurred by the Town. Cancellation of Event. If for any reason beyond Show Manage earthquake, explosion, accident, blockage, embargo, inclement weather, governmental restraints, act of public enemy, riot or civil disturbance, impairment or lack of adequate transportation, inability to secure sufficient labor, technical or other personnel, municipal, state or federal laws, or act of God), the Event, or any part thereof, is prevented from being held, interrupted or the Facility becomes unavailable, unfit for occupancy or substantially interfered with, Show Management may postpone as described in Section 16 or cancel the Event. If a cancellation occurs of such event (not a Postponement), Show Management shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue thereof, and Exhibitor waives claims for damage arising there from. Upon a cancellation, Show Management may credit or refund to Exhibitor no more than after deducting all expenses and reasonable compensation to Event. Cancellation of Event. If Questex elects to cancel the Event other than due to a Force Majeure Event, then Questex shall refund to Attendee its entire fee previously paid, in full satisfaction of all liabilities of Questex to Attendee. Attendee agrees that, except as expressly provided in this paragraph, it shall and hereby does waive any and all claims for damages or compensation resulting from or relating to the cancellation, postponement, renaming, relocation or rescheduling of the Event. Without limiting the generality of the foregoing, Questex may (at its sole discretion) change the format (including, without limitation, from a physical in-person Event to a virtual Event and vice versa), speakers, participants, content, venue location and program or any other aspect of the Event at any time and for any reason, whether or not due to a Force Majeure Event, in each case without liability.
