Call Agreement. Purchaser and Sellers shall amend prior to the Closing that certain Agreement for Wireless Visiting Service dated May 25, 2001 ("CALL AGREEMENT") between Purchaser and Xxxxxx Cellular Systems, Inc. to delete from Exhibit A to the Call Agreement all references to the Cellular System, which amendment shall be effective as of the Closing Date.
Call Agreement. As consideration for the purchase of the Loan and the forbearance described herein, Borrower shall enter into a call agreement with the Lender in the form attached hereto as Exhibit A.
Call Agreement. Concurrently with, and effective as of the date of, the issuance of the Warrant Interest, or any portion thereof (the “Issued Interest”), pursuant to an exercise of this Warrant Agreement, the Company and Holder shall enter into a Call Agreement with respect to such Issued Interest in the form attached hereto as Exhibit B.
Call Agreement. In the event a member of CP Management does not put his/her shares to HHI by March 31, 2005, CBC shall have the right to call such shares from CP Management at anytime commencing after June 1, 2005. The parties agree that the consideration for each share called shall be $96,774 per share. CBC shall provide the members of CP Management with written notice in the form attached hereto and incorporated herein as Exhibit C of its intent to call such share(s) from CP Management.
Call Agreement. The Company shall have executed the Call Agreement, in substantially the form attached hereto as Exhibit C.
Call Agreement. The Holders shall have executed the Call Agreement, in substantially the form attached hereto as Exhibit C.
Call Agreement. The Xxxxxx Stockholders and NBC Palm Beach II shall enter into a Call Agreement in the form attached hereto as Exhibit B (the “Call Agreement”).
Call Agreement. Pubco shall fully comply in a timely manner with all of its obligations under the Call Agreement and, except with the prior approval of the Required Shareholders, shall not terminate, make any changes to, waive any rights under or otherwise alter or amend the Call Agreement.
Call Agreement. Upon demand by Kafus at any time after the Purchase Activation Date, the Lender shall sell to Kafus all, but not less than all, of the Income Participation Certificates at a price equal to the IPC Put/Call Value. Any written certificate provided by the Lender to Kafus showing the calculation of the purchase price shall be conclusive and binding for all purposes, absent manifest error. If Kafus elects to purchase the Income Participation Certificate at such price, Kafus shall make payment to the Lender upon presentation to Kafus of the Income Participation Certificate accompanied with such transfer endorsements or instruments as are necessary to transfer the same to Kafus.
Call Agreement. The term "CALL AGREEMENT" means the Call Agreement of even date herewith executed by each EQUITY HOLDER for the benefit of the LENDER.
