Calculation of Gross Revenue. The purchase of any Launching Game (including without limitation any Launching Game Updates, Localized Versions, DLCs, and demo versions) by an End User through STOVE using ‘Platform Cash’ or another method of payment available on Stove such as credit card or PayPal shall be included in Gross Revenue; provided, however, that any purchase of DLC by an End User within the Launching Game using In-game Virtual Currency shall not be included in Gross Revenue. For clarification purpose, if any discount event for any Launching Game (including without limitation any Launching Game Updates, Localized Versions, DLCs, and demo versions) is held within STOVE, the amount actually paid to SGS by the End Users (that is, the discounted price after applying the discount rate of the applicable discount event) shall be included in Gross Revenue.

On agreement with respect to all matters in dispute or upon a decision of the Arbitrator with respect to all matters in dispute, the Purchaser shall forthwith pay the amount of the Earnout Portion of the Purchase Price, if any, to the Vendors.
